What an Airport Services Agreement Covers

An Airport Services Agreement is a formal contract that defines the relationship between an airport (public agency or authority) and a service provider delivering operational, maintenance, concession, ground handling, fueling, security, or specialty services. It sets out the scope of work, standards of performance, compensation, insurance and indemnity, safety and security requirements, access and site rules, term and renewal provisions, performance guarantees or bonds, and procedures for change orders and dispute resolution. The document allocates operational risk, establishes compliance obligations (including federal and local requirements), and creates the basis for invoicing, inspection, and termination.

Why a Clear Agreement Matters for Airport Operations

A well-drafted Airport Services Agreement reduces operational interruptions, clarifies liability and insurance responsibilities, protects the airport’s assets and public safety, and sets measurable performance standards that vendors must meet.

Why a Clear Agreement Matters for Airport Operations

Who Typically Prepares and Signs This Agreement

Successful use requires coordination between contracting, operations, risk management, and finance to ensure the agreement matches actual site procedures and regulatory obligations.

  • Airport procurement teams and legal counsel managing vendor selection and regulatory compliance.
  • Service providers and subcontractors agreeing to performance standards, invoicing, and insurance obligations.
  • Project managers and operations supervisors monitoring SLA compliance and coordinating change orders.

Primary Signatories and Their Roles

Airport Representative

Typically the Director of Aviation or an authorized contracting officer signs for the airport. Their role is to ensure the agreement enforces safety, access control, insurance, and public procurement rules and to approve any deviations or extensions.

Service Provider

An authorized officer or manager of the vendor (CEO, COO, or delegated signatory) signs to accept contractual obligations, performance standards, pricing, and indemnity. The signer must have corporate authority to bind the vendor.

Essential Sections to Include in the Agreement

A professional Airport Services Agreement groups operational, legal, and administrative terms so each party’s obligations and remedies are clear.

Scope of Work

Precise description of services, permitted equipment, work locations, hours, and service-level metrics so performance expectations are measurable and auditable.

Compensation

Fee schedule, invoicing cycle, payment terms, late-payment interest, and any adjustments for fuel, CPI, or scope changes.

Insurance & Indemnity

Minimum insurance limits, certificate requirements, additional insured endorsements, and mutual indemnification language to allocate risk.

Safety & Security

FAA, TSA, and airport-specific safety obligations, background checks, ID badges, security training, and incident reporting procedures.

Term & Termination

Agreement length, renewal mechanics, termination for cause or convenience, cure periods, and post-termination wind-down obligations.

Performance Bonds & Remedies

Retention, bonds, liquidated damages, audit rights, and corrective action plans tied to SLA breaches and inspection results.

Step-by-Step: Completing and Executing the Agreement

Follow a structured sequence from negotiation through execution to minimize errors and ensure enforceability.

  • 01
Drafting: Populate scope, rates, insurance, and exhibits with precise language.
  • 02
Review: Legal and operations teams confirm regulatory, safety, and procurement compliance.
  • 03
Signing: Obtain authorized signatures and dates from both parties; include required certificates and endorsements.
  • 04
Distribution: Provide executed copies to contracting, finance, operations, and vendor contacts for implementation.

How to Configure an Online Signing Workflow

Design a digital workflow to collect signatures, evidence consent, and capture an auditable trail for compliance and disputes.

Field Configuration
Signature Order Sequential or parallel per approval needs
Authentication Email link with optional SMS or KBA
Attachments Require insurance certificates and bonds before final signature
Notifications Automated reminders and completion receipts

Where to Send, File, and Store the Executed Agreement

Routing ensures the contract is actionable: specify official filing locations, retained copies, and recipient lists for compliance and audit.

  • Airport Contract Office: Primary retention copy for operational and procurement records
  • Vendor Records: Vendor retains original executed agreement and insurance proofs
  • Finance / Accounts Payable: Receive approved invoices and payment schedules
  • Operations & Safety: Store for day-to-day access and incident response

Digital Signing and eSubmission Considerations

Maintain copies in a secure document repository with versioning and access controls to meet audit and retention obligations.

  • Authentication Level: Use email plus SMS or identity proofing for higher-risk contracts
  • Audit Trail: Capture timestamps, IP, and action history for enforceability
  • File Formats: Store signed PDF/A or PDF with embedded audit data

Agreement Types: Full Agreement vs Short Form Service Order

Compare common variants to select the right template for the engagement size and regulatory risk.

Criteria Airport Services Agreement Short Form Service Order
Use case complex, multi-year services quick, low-risk purchases
Exhibits multiple exhibits included minimal or none
Insurance detail comprehensive schedules basic coverage only
Negotiability often negotiated standardized, one-way

Agreement begins on the MM/DD/YYYY effective date

Proof of Insurance Due:

Typically before mobilization; often 10–30 days after execution

Performance Start:

Start of services as stated in scope or after mobilization

Renewal Notice:

Commonly 60–90 days before contract expiration

Termination Notice:

Often 30–90 days depending on cause or convenience clauses

Typical Execution and Onboarding Milestones

Map milestones from procurement to live operations so responsibilities and timelines are visible to all parties.

01

Contract Award

Final approval and authorization to proceed by contracting officer

02

Contract Execution

Signed agreement and collection of required certificates

03

Mobilization

Site access, badges, training, and equipment deployment

04

Common Mistakes When Preparing the Agreement

  • Vague scope of work that omits hours, locations, or measurable service levels; leads to disputes over deliverables and billing.
  • Missing or mismatched legal names and insurance endorsements that cause delays in certificate acceptance and service start.
  • Failing to require background checks, training, or badge access language, which creates security and regulatory exposure at the airport.
  • Not including clear change-order or pricing adjustment procedures, which can escalate disputes when operational needs evolve.

Penalties and Risks from Incorrect or Incomplete Agreements

Service Disruption: Operational interruptions and reputational damage
Financial Exposure: Unclear pricing leads to disputes and overpayment
Regulatory Fines: Noncompliance with FAA/TSA requirements
Insurance Gaps: Claims denied due to missing endorsements
Contract Termination: Early termination and potential liquidated damages
Liability Transfer: Indemnity misallocation increases airport risk

Core Data Elements the Agreement Must Contain

Document ID: Unique contract number
Parties: Full legal names
Scope: Services summary
Compensation: Rates and totals
Insurance: Limits and carriers
Term: Start and end dates

Illustrative Use Cases

Examples show how different parties use the Airport Services Agreement in practice across common scenarios.

Airport Concession Contract

A municipal airport negotiates a multi-year food service contract with fixed rent and revenue share targets.

  • Vendor must meet weekly sanitation and security badge rules.
  • The agreement includes revenue reporting exhibits, monthly reconciliations, and termination clauses tied to health or safety breaches, enabling rapid enforcement while protecting public interest.

Ground Handling Services

An FBO contracts a ground handling firm to provide ramp support and fueling operations.

  • Provider must carry specified insurance and performance bond.
  • The contract defines SLAs for on-time performance, hazardous materials handling procedures, and indemnity for fuel spills to reduce operational and environmental liability.

Practical Tips for Accurate, Efficient Completion

Adopt consistent practices that reduce administrative friction and strengthen enforceability across vendors and contracts.

Use Clear Exhibits
Attach technical specifications, price schedules, maps, and contact lists as numbered exhibits referenced in the main agreement to avoid ambiguity about responsibilities and performance metrics.
Standardize Insurance Language
Require certificates with specific endorsements and include exact policy limits in the agreement; specify certificate holder name and additional insured language to streamline acceptance.
Define Change Orders
Provide a written change-order process with approval thresholds and pricing adjustments to handle scope changes without disrupting operations or cash flow.
Preserve Audit Evidence
When using eSignature platforms, retain the audit trail, attachments, and any identity proofing artifacts to demonstrate intent, consent, and attribution if disputes arise.
