now, therefore, all agreements, bargains, promises and other written and oral agreements, promises and other written and oral agreements which can or may be reasonably interpreted to constitute an offer to sell, contract of sale, subscription, lease or rental, or to transfer to the trustee shares of common stock, or which have the effect of a contract for sale, subscription, lease or rental of the said shares, shall be deemed and agreed to be valid against all persons claiming under the provisions herein of writing notwithstanding any inconsistent provision in any subsequent or prior agreement, pact or undertaking signed, executed or filed before the present time of the same effect made to be valid by such person, and are valid and binding on the persons claiming under the provisions herein of writing, whether signed in favor of the company, the trustees, or individually; and whereas, any provision of any written agreement, contract, certificate, written instrument or other writing in favor of the company or the trustee, or in favor of the company, the trustee, or the corporation, which conflicts with the above agreement, is invalid; and whereas, all matters arising out of the management or control of or the formation, dissolution, dissolution of or winding up of the company or of the trust (hereinafter collectively, referred to as “company" or "trust"), in its corporate capacity and, without limiting the generality of the foregoing, the appointment, removal, resignation, death or disability of its officers, directors or other persons whose appointment, removal, resignation, death or disability is required to be effected pursuant to this agreement (hereinafter collectively referred to as “officers"), directors, administrators, trustees and assigns, except as to any matter arising out of or related to matters contained in a valid agreement, contract or certificate, or in any other document by which officers, directors, trustees or assigns are appointed or removed, is a matter between the parties and the court; and whereas, all matters arising out of the management or control of or the formation, dissolution, dissolution of or winding up of the company or of the trust (hereinafter collectively, referred to as “company" or "trust"), in its corporate capacity and, without limiting the generality of the foregoing, the selection of its officers, directors, administrators, trustees and assigns, except as to any matter arising out of or related to certain provisions contained in a valid agreement, contract or certificate, and in any other document by which officers, directors, trustees or assigns are appointed or removed, are matters
