Borrower covenants to maintain the Property and to comply with applicable laws and ordinances.

Default; Remedies

Upon Borrower default, and following any required notice and cure periods, Lender shall have all remedies provided in the loan documents and by applicable law, including acceleration of the indebtedness, foreclosure of the security instrument, and recovery of costs and attorneys' fees. Borrower agrees that Lender may apply insurance proceeds to sums secured by the security instrument.

Closing Agent Certification and Escrow Instructions

Closing Agent shall disburse loan proceeds in accordance with these instructions and any separate settlement statement. Closing Agent certifies that it will obtain and provide to Lender an ALTA standard loan policy for the Lender insuring the priority of the Lender's security interest, subject only to the permitted exceptions set forth herein or otherwise approved by Lender in writing.

Governing Law; Notices

This document and any disputes arising hereunder shall be governed by the laws of the state in which the Property is located, without regard to that state's choice-of-law rules.

Fees, Costs, and Indemnities

Borrower shall pay all costs of closing, including title insurance premiums, recording fees, transfer taxes, and other customary closing charges, unless otherwise expressly allocated herein. Each party agrees to indemnify the other for losses arising from that party's breach of representations or covenants.
