Standards, Testing and Acceptance

The Supplier shall produce goods in conformance with the standards selected below and shall provide supporting documentation where indicated. The Client may conduct inspections and reject nonconforming goods pursuant to the Acceptance paragraph below.

Payment Terms

The Client shall pay the Supplier in accordance with the amounts and schedule set forth below. Invoices shall reference this Agreement and the applicable purchase order. Payments not received when due shall accrue late fees as provided below.

Term and Termination

This Agreement shall commence on Start Date: and continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate for material breach if the breaching party fails to cure the breach within the notice period, or immediately for insolvency or unlawful acts that materially impede performance.

Confidentiality

Each party shall hold in strict confidence all proprietary and confidential information disclosed by the other party in connection with this Agreement and shall not use or disclose such information except as necessary to perform obligations hereunder or as required by law. Confidential information does not include information that is publicly available without breach, independently developed, or rightfully obtained from a third party without restriction.

Warranties and Remedies

The Supplier warrants that delivered goods shall conform to the specifications, be of merchantable quality and free from material defects for a period specified in the Scope of Work or, if none is stated, for 12 months from delivery. If goods are nonconforming, Supplier shall, at Client's option, repair, replace or refund the purchase price for the nonconforming goods. Remedies set forth herein are Client's exclusive remedies for breach of warranty, except where applicable law provides otherwise.

Governing Law and Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of State: without regard to conflict of laws principles. This Agreement, together with any referenced purchase orders and attachments, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations and agreements, whether written or oral, relating to the subject matter hereof.

Miscellaneous Provisions

Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or successor in interest. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties. If any provision is held invalid, the remaining provisions shall remain in full force and effect.
