ADOPTION OF AMENDMENT TO BYLAWS AUTHORIZINGELECTION OF DIRECTORS EMERITUS The Board of Directors has adopted an amendment to the bylaws of the Company, subject to the approval of two-thirds of the outstanding shares represented at the annual meeting. The amendment would permit the Board of Directors to elect as a director emeritus any former director of the Company if, in the judgment of the Board of Directors, he has rendered exceptionally valuable service to the Corporation and his continued interest and association with the Corporation will he needed. A director emeritus would serve at the pleasure of the Board of Directors and must demonstrate his continued interest and value by regularly attending meetings of the Board of Directors and by providing his advice and counsel when needed. A director emeritus would not be entitled to vote and shall not be considered a member of the Board for purposes of establishing a quorum.
