RECITALS

The Original Agreement and all schedules, exhibits and attachments thereto are incorporated herein by reference and shall remain in full force and effect except as expressly modified by this Amendment.

2. AMENDMENT OF SCHEDULES

Effective as of the Effective Date set forth in Section 9, the following Schedules of the Original Agreement are amended as described below. To the extent of any conflict between a Schedule as amended by this Amendment and the Original Agreement, the amended Schedule shall control.

3. EFFECT ON ORIGINAL AGREEMENT

Except as expressly amended by this Amendment, the Original Agreement and any schedules not amended hereby remain unchanged and in full force and effect. If any provision of an amended Schedule conflicts with a specific provision of the Original Agreement, the amended Schedule provision shall govern solely with respect to the subject matter of that Schedule.

4. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that: (a) it is duly organized, validly existing and in good standing under the laws of its jurisdiction of organization; (b) it has the full power and authority to enter into and perform this Amendment; (c) the person executing this Amendment on its behalf is duly authorized to do so; and (d) the execution, delivery and performance of this Amendment will not violate any material agreement to which it is a party.

5. NO OTHER AMENDMENTS

Except as expressly set forth in this Amendment, no representation, warranty, covenant or agreement of the parties under the Original Agreement is amended, modified, waived or supplemented by this Amendment. All other terms and conditions of the Original Agreement remain in full force and effect.

6. NOTICES

All notices required or permitted under this Amendment shall be given in accordance with the notice provisions of the Original Agreement. The parties' notice contacts for purposes of this Amendment are set forth below and shall be used for any notices relating to the Schedule amendments.

7. GOVERNING LAW

This Amendment shall be governed by and construed in accordance with the laws of without regard to its conflicts of law principles.

8. ENTIRE AGREEMENT; SEVERABILITY

This Amendment, together with the Original Agreement as modified hereby, constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether written or oral. If any provision of this Amendment is determined by a court of competent jurisdiction to be invalid, illegal or unenforceable, such provision shall be severed to the minimum extent necessary and the remaining provisions shall remain in full force and effect.

9. AMENDMENTS; WAIVER; COUNTERPARTS

Any amendment or modification to this Amendment must be in writing and signed by authorized representatives of both parties. No waiver of any term, condition or breach shall be effective unless in writing and signed by the waiving party. This Amendment may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
