AMENDED LEGAL POWER OF ATTORNEY

This Amended Legal Power of Attorney is made on by Principal Name: residing at (hereinafter "Principal"), and Agent Name: residing at (hereinafter "Agent").

RECITALS

WHEREAS, Principal previously executed a Power of Attorney dated (the "Original Power of Attorney");

WHEREAS, Principal desires to amend certain provisions of the Original Power of Attorney and to confirm all other provisions of the Original Power of Attorney not expressly amended herein;

WHEREAS, Agent is willing to continue to serve as Attorney-in-Fact under the terms and conditions set forth in this Amended Legal Power of Attorney.

NOW, THEREFORE, in consideration of the foregoing and the mutual covenants herein, Principal and Agent agree as follows:

1. AMENDMENT

1.1 Amendment of Original Power of Attorney. Effective as of the date set forth above, the Principal hereby amends the Original Power of Attorney as described in this section. To the extent of any conflict between this instrument and the Original Power of Attorney, this instrument shall control.

2. CONFIRMATION OF REMAINING PROVISIONS

2.1 Except as expressly amended or revoked by this Amended Legal Power of Attorney, all terms, conditions, powers, and authorities granted in the Original Power of Attorney are hereby ratified and confirmed and remain in full force and effect. This instrument shall not be construed to reinstate any provision of the Original Power of Attorney that was previously revoked by a subsequent instrument unless expressly stated herein.

3. GRANT OF AUTHORITY

3.1 Durable Authority. To the extent permitted by law and except as otherwise limited herein, Principal grants Agent durable authority to act as Attorney-in-Fact for Principal with respect to the following matters: financial transactions; real property transactions; personal property transactions; banking and investment activities; tax matters; insurance; government benefits; legal claims and litigation; and any other powers reasonably necessary to administer Principal's affairs.

3.2 Specific Authorities. Agent's powers shall include, without limitation, the power to negotiate, execute, amend, revoke, settle, and deliver instruments and documents; to access and manage accounts; to buy, sell, encumber, or transfer property; and to file, pay, and contest taxes on behalf of Principal.

4. LIMITATIONS ON AUTHORITY

4.1 The Agent shall not, except to the extent expressly authorized in writing in this instrument, do any of the following: make or revoke a will for Principal; consent to the Principal's sterilization; make an anatomical gift for the Principal; or exercise power in any manner that would violate an explicitly stated limitation below.

Agent shall not make gifts of Principal's property beyond customary and reasonable gifts for the purpose of facilitating estate or tax planning.
Agent shall not make health care or personal care decisions under this instrument.

Such third parties are entitled to request proof of the Agent's authority and may require reasonable instructions, indemnity, or documentation prior to honoring instruments executed by the Agent.

7. FIDUCIARY DUTIES; STANDARD OF CARE

7.1 Fiduciary Duty. Agent shall act in the best interests of the Principal, with care, competence, and diligence, and shall avoid conflicts of interest unless fully disclosed and consented to by Principal in writing.

7.2 Standard of Liability. Agent shall not be liable for acts done in good faith reliance on this instrument, except for acts constituting willful misconduct, gross negligence, or a breach of fiduciary duty.

Notices shall be effective when personally delivered, when sent by nationally recognized overnight courier, or three business days after deposit in the United States mail, postage prepaid, addressed to the addresses set forth above or to such other address as a party may designate by notice.

11. GOVERNING LAW

11.1 This Amended Legal Power of Attorney shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law rules.

12. ENTIRE AGREEMENT

12.1 This instrument, together with the Original Power of Attorney as hereby amended, constitutes the entire agreement between the parties with respect to the matters herein and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to the subject matter hereof.

13. SEVERABILITY

14. AMENDMENTS AND WAIVER

14.1 No amendment, modification, or waiver of any provision of this instrument shall be effective unless in writing and signed by Principal. The failure of any party to enforce any provision shall not constitute a waiver of that provision.

15. COUNTERPARTS; ELECTRONIC SIGNATURES

15.1 This Amended Legal Power of Attorney may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means (including facsimile or scanned copies) shall have the same force and effect as original signatures.
