3. COMPENSATION

All compensation is subject to applicable payroll deductions and withholdings. Unless expressly stated otherwise, any future increases, bonuses, or equity grants are discretionary and do not form part of the base compensation.

4. BENEFITS

Employee's eligibility for benefits shall be determined in accordance with Employer's benefit plans and policies. Nothing in this Amendment guarantees continuation of any benefit beyond the terms of the applicable plan documents.

5. TERM AND TERMINATION

6. REPRESENTATIONS AND WARRANTIES

Employee represents and warrants that all information provided to Employer relevant to employment and compensation is true, complete, and accurate. Employee agrees to notify Employer promptly of any change in circumstances that would render such information inaccurate.

7. CONFIDENTIALITY; INVENTIONS

Employee shall continue to be bound by any confidentiality, intellectual property assignment, and invention assignment obligations set forth in the Original Offer, or in a separate written agreement, and acknowledges that such obligations survive termination of employment to the fullest extent permitted by law.

8. NOTICES

All notices required or permitted under this Amendment must be in writing and delivered by personal delivery, nationally recognized overnight courier, or certified mail (return receipt requested) to the addresses provided below or to such other address as a party designates by written notice.

9. GOVERNING LAW; VENUE

This Amendment shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties agree that exclusive venue for disputes arising out of this Amendment shall lie in state or federal courts located in such state, to the extent permissible by law.

10. ENTIRE AGREEMENT; SEVERABILITY

This Amendment, together with the Original Offer and any referenced plan documents or agreements, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings. If any provision of this Amendment is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11. AMENDMENTS; WAIVER; COUNTERPARTS

Any amendment or waiver of a provision of this Amendment must be in writing and signed by both parties. No failure or delay in exercising any right shall operate as a waiver. This Amendment may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
