AMENDED PAYMENT AGREEMENT

This Amended Payment Agreement (the "Agreement") is entered into as of by and between the parties set forth below.

Recitals

WHEREAS, the parties entered into a prior agreement identified as dated (the "Original Agreement"); and

WHEREAS, the parties desire to amend certain payment terms of the Original Agreement and to set forth the amended payment schedule and related terms in writing.

Amendment Terms

1. Principal Balance. The parties acknowledge that as of the Amendment Effective Date the outstanding principal balance is $ (the "Principal Balance"), which shall be the starting balance under this Agreement.

2. Interest. Interest on any unpaid Principal Balance shall accrue at an annual rate of % per annum, calculated on a 365-day year basis, unless otherwise provided below.

3. Amended Payment Schedule. The Original Agreement is amended so that payments shall be made in accordance with the schedule below. The first payment under this Amended Payment Agreement is due on and shall continue as described in the payment schedule.

Payment Mechanics

Payments shall be applied first to accrued interest, then to outstanding principal, and then to any fees. Borrower may prepay any portion of the Principal Balance without penalty unless otherwise noted below.

Default; Remedies

Event of Default shall include failure to make any payment when due and failure to cure within days after written notice. Upon Event of Default, Lender may declare the entire unpaid Principal Balance, accrued interest and fees immediately due and payable and exercise all remedies available at law or equity, including collection, costs, and reasonable attorneys' fees.

Default Rate: Upon Event of Default, the interest rate shall increase to % per annum on the outstanding balance until paid in full.

Representations and Warranties

Each party represents and warrants that it has the full power and authority to enter into this Agreement, that the execution and delivery of this Agreement has been duly authorized, and that this Agreement constitutes a valid and binding obligation of such party enforceable in accordance with its terms.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below. Notice shall be effective upon receipt or, if mailed, three (3) business days after deposit with the postal service.

Governing Law; Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice of law principles. This Agreement amends only those sections of the Original Agreement expressly described herein and, except as amended, the Original Agreement remains in full force and effect. This Agreement may be executed in counterparts, each of which shall be deemed an original.
