ANIMAL CARE REARING CONTRACT

This Animal Care Rearing Contract (the "Agreement") is entered into between:

WHEREAS

WHEREAS, Client is the lawful owner or authorized agent of the animals described herein and desires to retain Service Provider to provide rearing, husbandry, and related care services under the terms and conditions set forth below;

WHEREAS, Service Provider represents that it possesses the requisite experience, facilities, personnel, licenses, and insurance to provide professional animal care and rearing services consistent with accepted industry standards;

WHEREAS, the parties wish to memorialize their agreement in writing to ensure the health, welfare, and responsible rearing of the animals and to allocate responsibilities, fees, and liabilities between them.

SCOPE OF WORK

Service Provider shall provide animal care, rearing, and husbandry services as described below, including food, shelter, routine health checks, daily care, enrichment, and recordkeeping. Specific tasks, timelines, measurable performance standards, and any breeding, vaccination, or specialized care shall be documented in the Scope of Work field.

ANIMAL DETAILS

PAYMENT TERMS

Client agrees to pay Service Provider the fees described below in consideration for the performance of the Scope of Work. Fees cover services expressly listed and do not include extraordinary veterinary care or third-party fees unless expressly authorized in writing by Client.

All fees are exclusive of taxes and third-party charges. Service Provider shall submit invoices consistent with the Payment Schedule. Unpaid invoices may accrue interest as specified above and Service Provider may suspend services after providing written notice if amounts remain unpaid.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for cause upon written notice if the other party materially breaches any obligation and fails to cure such breach within Notice Period: days after receipt of written notice. Client may also terminate for convenience upon providing Payment in lieu of Notice: .

Upon termination, Client shall pay Service Provider for all services performed and reasonable costs incurred through the effective date of termination, plus any authorized termination costs expressly agreed in writing.

CONFIDENTIALITY

Each party shall maintain the confidentiality of proprietary information disclosed by the other party in connection with this Agreement and shall not disclose such information to third parties except as required by law or as necessary to perform obligations hereunder. Confidential information includes business records, animal health records, trade practices, and client lists, but does not include information that becomes publicly available other than by breach of this Agreement.

Service Provider shall maintain confidential medical and rearing records for the animals and shall provide such records to Client on request within a reasonable time. Service Provider may disclose confidential information to licensed veterinarians, subcontractors bound by confidentiality, and insurers as necessary for animal welfare and compliance.

INSURANCE, INDEMNIFICATION & LIABILITY

Service Provider shall maintain, at its expense, insurance coverage appropriate to the services provided, including general liability and animal mortality/medical coverage as applicable. Service Provider agrees to indemnify and hold harmless Client from claims arising from Service Provider's negligent acts or omissions in the performance of services. Client shall indemnify Service Provider for claims arising from Client-supplied hazardous conditions or failure to disclose known animal health conditions.

Except for willful misconduct or gross negligence, neither party shall be liable for indirect, incidental, consequential, or punitive damages, and liability shall be limited to direct damages up to the total fees paid under this Agreement during the twelve (12) month period preceding the event giving rise to the claim.

REIMBURSEMENT OF EXPENSES

Client shall reimburse Service Provider for reasonable third-party expenses (including veterinary care, medications, specialized feed, shipping, and permits) incurred on Client's behalf provided that such expenses are pre‑approved by Client or arise from emergency care necessary to preserve life or prevent significant harm, in which case Service Provider shall notify Client at the earliest practical time.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of: without regard to that state's conflicts of law rules.

ENTIRE AGREEMENT

This Agreement, including any written attachments or addenda executed by the parties, constitutes the entire agreement between Client and Service Provider with respect to the subject matter hereof and supersedes all prior discussions, representations, and agreements. Any modification must be in writing and signed by both parties to be effective.

MISCELLANEOUS

If any provision of this Agreement is found to be illegal or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect. Notices required under this Agreement shall be in writing and delivered to the addresses provided above or to such other address as a party may designate in writing.
