WHEREAS, the parties desire to set forth the terms and conditions under which Rescue Provider will perform such services for Client.

Scope of Work

Except for gross negligence or willful misconduct, neither party shall be liable for indirect, consequential, or punitive damages arising under this Agreement. Indemnification

Each party (Indemnitor) agrees to indemnify, defend, and hold harmless the other party (Indemnitee) from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) to the extent arising out of Indemnitor's breach of this Agreement, negligence, or willful misconduct. Indemnification obligations shall survive termination of this Agreement.

Rescue Provider shall exercise reasonable care consistent with prevailing veterinary practices for the health, safety, and humane treatment of animals in its custody. Client acknowledges that in certain emergency situations Rescue Provider may obtain emergency veterinary care for an animal at Client's expense if immediate treatment is necessary to prevent death or serious harm and Client cannot be reached.
