The receiving party shall (i) use Confidential Information solely for the purposes of performing under this Declaration, (ii) restrict access to Confidential Information to employees and contractors having a need to know and bound by confidentiality obligations no less protective than those herein, and (iii) not disclose Confidential Information to third parties without prior written consent of the disclosing party, except as required by law. Confidentiality obligations shall survive termination for a period of years.

GOVERNING LAW

This Declaration shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that state for the resolution of disputes arising under this Declaration.

ENTIRE AGREEMENT
