ANNUAL LICENSE FEE AGREEMENT

This Annual License Fee Agreement (the Agreement) is entered into as of (Effective Date) by and between the parties identified below.

Parties

Recitals and Definitions

WHEREAS, Licensor owns or controls certain intellectual property and/or software and is willing to grant a limited license to Licensee under the terms herein; and WHEREAS, Licensee desires to obtain such license in consideration of payment of annual license fees.

License Grant and Term

Licensor hereby grants to Licensee a non-exclusive, non-transferable license to use the licensed materials solely as set forth in this Agreement for a term of years commencing on the Effective Date. Renewals, if any, shall be governed by the Renewal provision below.

Annual License Fee and Payment Terms

Licensee shall pay Licensor an annual license fee in the amounts set forth in the Fee Schedule below. The initial annual license fee is payable in accordance with the terms below. Fees are exclusive of taxes unless otherwise indicated.

Invoicing, Payment Method and Late Payment

Licensor shall issue invoices in advance of each annual payment or as otherwise agreed. Payment is due within days of invoice date. Accepted payment methods:

Late payments shall accrue interest at the rate of compounded monthly, and Licensee shall be responsible for reasonable collection costs and expenses.

Taxes and Withholding

All fees payable under this Agreement are exclusive of taxes (including sales, use, value-added, and similar taxes). Licensee shall be responsible for all taxes arising from the license, except taxes based on Licensor's net income. If Licensee is required by law to withhold any tax, Licensee shall provide Licensor with documentation of such withholding.

Audit Rights and Records

Licensor or its designated auditor may, upon reasonable prior written notice, inspect Licensee's records that pertain to the calculation of fees for up to three (3) years following the date the fees were payable. Licensee shall retain such records and shall provide access during normal business hours. Any underpayment discovered in an audit shall be promptly paid by Licensee together with interest as specified above. If an underpayment exceeds of the amount due, Licensee shall reimburse the reasonable cost of the audit.

Termination, Default and Remedies

Either party may terminate this Agreement upon written notice if the other party materially breaches this Agreement and fails to cure such breach within days after receipt of notice. Termination shall not relieve Licensee of obligations to pay accrued fees or amounts due for the remainder of the then-current term unless otherwise expressly agreed in writing.

Confidentiality

Each party shall maintain in confidence the other party's Confidential Information and shall not disclose such information except to those employees or professional advisers who have a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidential Information does not include information which is or becomes publicly available through no breach of this Agreement.

Indemnification and Limitation of Liability

Each party agrees to indemnify, defend and hold harmless the other party from and against any third-party claims arising from its breach of this Agreement or its negligent or willful acts. EXCEPT FOR A PARTY'S INDEMNIFICATION OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, AND TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE BY LICENSEE UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles. The parties shall first seek to resolve disputes in good faith through escalation to senior representatives before initiating formal dispute resolution.

Notices

All notices, invoices and other communications required or permitted hereunder shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by written notice.
