ANNUAL RENEWAL AGREEMENT

This Annual Renewal Agreement (the "Agreement") is made as of Day: Month: Year: by and between Client Name: and Service Provider: (each a "Party" and collectively the "Parties").

RECITALS

WHEREAS, the Parties previously entered into a services agreement pursuant to which Provider agreed to provide certain services to Client (the "Existing Agreement"); and

WHEREAS, the Parties desire to renew and extend the term of the Existing Agreement on the terms and conditions set forth in this Agreement; and

WHEREAS, the Parties intend that this Agreement govern the renewed term and supersede any inconsistent renewal provisions in the Existing Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, the Parties agree as follows:

1. TERM

1.1 Term. The term of this Agreement shall commence on the Effective Date identified above and shall continue for an initial period of months (the "Initial Term"), unless earlier terminated in accordance with Section 6.

1.2 Renewal. Upon expiration of the Initial Term, this Agreement shall automatically renew for successive periods of months each (each a "Renewal Term"), unless either Party provides written notice of non-renewal to the other Party at least days prior to the end of the then-current term.

1.3 Early Renewal Election. The Parties may mutually agree in writing to renew the Agreement earlier than the expiration of the Initial Term by executing a written amendment signed by both Parties.

2. SCOPE OF SERVICES

Provider shall perform the services described above in a professional and workmanlike manner consistent with industry standards. Provider shall comply with all applicable laws, rules and regulations in performing its obligations under this Agreement.

3. FEES AND PAYMENT

Fees are payable in accordance with the payment schedule agreed by the Parties. Unless otherwise agreed in writing, payment shall be due within days of invoice. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

4. CONFIDENTIAL INFORMATION

4.1 Definition. "Confidential Information" means non-public information disclosed by a Party relating to its business, customers, operations, or technology, whether disclosed orally, in writing, or by inspection.

4.2 Obligations. Each Party shall (a) hold Confidential Information in strict confidence, (b) not disclose Confidential Information to any third party except as authorized in writing, and (c) use Confidential Information only to perform its obligations under this Agreement. Confidential Information shall not include information that is or becomes publicly available other than through a breach of this Agreement.

5. INDEMNIFICATION; LIMITATION OF LIABILITY

5.1 Indemnification. Each Party (the "Indemnifying Party") shall indemnify, defend, and hold harmless the other Party and its officers, directors and employees (the "Indemnified Party") from and against any third-party claims, damages, liabilities and expenses arising from the Indemnifying Party's breach of this Agreement, negligence, or willful misconduct.

5.2 Limitation of Liability. EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT OR BREACH OF CONFIDENTIALITY, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, AND EACH PARTY'S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE TO PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTH PERIOD PRECEDING THE CLAIM.

6. TERMINATION

6.1 Termination for Cause. Either Party may terminate this Agreement for material breach by the other Party if the breaching Party fails to cure such breach within days after written notice specifying the nature of the breach.

6.2 Termination for Convenience. Either Party may terminate this Agreement for convenience upon providing the notice period specified in Section 1.2, subject to the payment of any outstanding fees for services performed through the effective date of termination.

7. NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and shall be delivered by hand, certified mail (return receipt requested), or overnight courier to the addresses below. Notices shall be effective upon receipt.

8. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that (a) it has full corporate power and authority to enter into and perform this Agreement, (b) the execution and delivery of this Agreement has been duly authorized by all necessary corporate action, and (c) this Agreement constitutes a legal, valid and binding obligation enforceable in accordance with its terms.

9. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located in such State for any dispute arising out of this Agreement.

10. ENTIRE AGREEMENT; SEVERABILITY; AMENDMENT; WAIVER; COUNTERPARTS

10.1 Entire Agreement. This Agreement, together with the Existing Agreement to the extent expressly renewed hereby and any written amendments signed by the Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

10.2 Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be replaced by a valid provision that most closely reflects the Parties' original intent.

10.3 Amendment; Waiver. No amendment or modification of this Agreement shall be effective unless in writing and signed by both Parties. No waiver of any provision or breach shall be effective unless in writing and signed by the Party granting the waiver.

10.4 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which taken together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be binding.

MISCELLANEOUS

The Parties acknowledge that they have had an opportunity to seek independent legal advice prior to executing this Agreement, and that each Party has read and understands the terms and conditions contained herein.
