ANNUAL SUBSCRIPTION AGREEMENT

Recitals

Term; Renewal

1. Term. The initial term of this Agreement shall commence on the Effective Date and continue for a period of year(s) (the "Initial Term"). Thereafter this Agreement shall automatically renew for successive one-year terms unless either party provides written notice of non-renewal at least days prior to the end of the then-current term.

Services; Access

2. Services. Provider shall provide Subscriber with access to the Services described in the attached Fee Schedule and any Service Descriptions incorporated by reference. Access is limited to authorized users designated by Subscriber and governed by Provider policies identified in this Agreement.

Fees and Payment

3. Fees. Subscriber shall pay the fees set forth in the Fee Schedule below. All fees are non-refundable except as expressly provided in this Agreement. Fees shall be payable in United States dollars unless otherwise agreed in writing.

4. Payment Terms. Unless otherwise agreed, payment is due within days of invoice. Accepted payment methods: . Late payments shall incur a late fee of % per month (or the maximum permitted by law), plus collection costs.

5. Invoicing. Provider shall invoice Subscriber in accordance with the billing schedule set out in this Agreement. Subscriber must notify Provider in writing of any billing disputes within thirty (30) days of receipt; failure to do so shall constitute acceptance of the invoice.

Auto-Renewal and Cancellation

6. Auto-Renewal. This Agreement will automatically renew for additional one-year terms unless either party elects non-renewal as stated above. Subscriber authorizes Provider to automatically charge the payment method on file for renewal fees unless Subscriber cancels in accordance with this Agreement.

Termination; Suspension

7. Termination for Cause. Either party may terminate this Agreement for material breach by the other party if such breach remains uncured after thirty (30) days' written notice. Provider may suspend access to Services immediately upon material non-payment by Subscriber and may terminate if non-payment continues following notice.

Confidentiality and Data

8. Confidentiality. Each party shall treat the other party's confidential information with the same degree of care it accords its own confidential information but no less than reasonable care. Confidential information does not include information that is or becomes generally available to the public through no fault of the receiving party.

9. Data Protection. Provider shall implement reasonable administrative, technical and physical safeguards to protect Subscriber data. Provider's obligations with respect to personal data shall be set forth in the Data Processing Addendum where applicable.

Warranties; Limitation of Liability; Indemnity

10. Warranties. Provider warrants that it will provide Services in a professional manner consistent with industry standards. EXCEPT FOR THE LIMITED WARRANTY STATED IN THIS SECTION, THE SERVICES ARE PROVIDED "AS IS" AND PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.

11. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR LOSS OF PROFITS, REVENUE OR DATA. EACH PARTY'S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY SUBSCRIBER TO PROVIDER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnity. Subscriber shall defend, indemnify and hold harmless Provider from and against any third-party claims arising out of Subscriber's use of the Services in violation of this Agreement or applicable law.

Taxes and Compliance

13. Taxes. All fees are exclusive of taxes. Subscriber shall be responsible for any sales, use, VAT, or other taxes arising from Subscriber's purchase of Services, excluding taxes based on Provider's income.

14. Assignment. Neither party may assign this Agreement without the other party's prior written consent, except that Provider may assign to an affiliate or in connection with a merger or sale of substantially all assets.
