APARTMENT CONSTRUCTION AGREEMENT

This Apartment Construction Agreement ("Agreement") is entered into by and between the parties identified below as of the Effective Date recorded herein. The parties desire construction of a multi-unit apartment improvement on the Property described in Section 2 under the terms and conditions set forth in this Agreement.

Contractor shall perform and complete all labor, materials, equipment and services necessary to construct the apartment building(s) and related improvements described in the Contract Documents. The Scope of Work includes, without limitation, site preparation, foundations, structural framing, roofing, exterior finishes, mechanical, electrical, plumbing, common areas, unit finishes, landscaping, and all other work expressly set forth in the Contract Documents.

6. Change Orders

All changes to the Scope of Work or Contract Price shall be made by written Change Order signed by Owner and Contractor. No oral orders or directives shall entitle Contractor to additional compensation or time. Change Orders shall set forth the price adjustment and the impact on the Project schedule.

Contractor shall obtain and pay for all permits, inspections and licenses required for performance of the Work unless otherwise agreed in writing. Contractor shall perform the Work in compliance with applicable codes, laws and regulations.

8. Warranties, Bonds and Liens

Contractor warrants that the Work will be free from defects in workmanship and materials for a period of months from Final Completion, except for defects caused by Owner or third parties. Contractor shall furnish performance and payment bonds if required by Owner in the amount and form specified prior to commencement of Work.

Contractor shall keep the Property free from liens and claims arising out of the performance of the Work. Contractor shall promptly furnish lien waivers and releases as a condition to progress and final payments.

9. Indemnity and Risk Allocation

Contractor shall indemnify, defend and hold Owner harmless from losses, liabilities, costs and expenses (including reasonable attorney fees) arising out of Contractor's performance of the Work, except to the extent caused by Owner's negligence or willful misconduct. The Parties shall maintain insurance as required in Section 7.

10. Inspections, Acceptance and Punch List

Owner shall have the right to inspect the Work. Within a reasonable period after Substantial Completion, Owner shall provide Contractor with a written punch list of items to be corrected. Contractor shall promptly correct punch list items at Contractor's expense prior to Final Completion and final payment.

12. Default, Remedies and Termination

If either party materially breaches this Agreement and fails to cure within the applicable cure period after written notice, the non‑breaching party may exercise remedies available at law or in equity, including termination for cause, specific performance or damages. Owner may terminate for convenience upon written notice and upon payment to Contractor of agreed sums for Work performed, reasonable demobilization costs, and overhead and profit as specified herein.

13. Dispute Resolution

The Parties shall attempt in good faith to resolve disputes by negotiation and, if unsuccessful, by non-binding mediation. If mediation does not resolve the dispute, the Parties agree to submit the dispute to final and binding arbitration under the rules agreed by the Parties. Judgment upon the arbitration award may be entered in any court of competent jurisdiction.

14. Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of . This Agreement, together with the Contract Documents referenced herein, constitutes the entire agreement between the Parties and supersedes all prior negotiations, representations and agreements, whether written or oral.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below by personal delivery, certified mail, or nationally recognized overnight courier.
