WHEREAS

WHEREAS, Producer is engaged in the production, distribution and promotion of audio, visual and multimedia content and desires the appearance, performance, photograph, voice recording and/or interview of the Releasor in connection with the Producer's project described below; and

WHEREAS, Releasor is willing to appear and grant the rights set forth herein in consideration of the payments and other terms set forth in this Agreement.

Grant of Rights

Releasor irrevocably grants to Producer, its licensees, successors and assigns, the perpetual, worldwide, royalty-free, transferable right to record, edit, reproduce, distribute, display, perform, license and otherwise use Releasor's name, likeness, voice, performance, image, biography and statements (collectively, the "Materials") in any and all media now known or hereafter developed for any purpose related to the Project, including advertising and promotional uses. Releasor waives any moral rights and any rights of approval of use.

This Agreement commences on and, unless earlier terminated in accordance with this Agreement, shall continue until .

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above. Termination shall not relieve Producer of any obligation to pay for services already performed in accordance with the Payment Terms.

Confidentiality

The parties acknowledge that Producer may disclose confidential information to Releasor and that Releasor will keep such information in strict confidence and not disclose it to any third party except as required to perform the appearance. Confidential information does not include information that is or becomes publicly available through no fault of Releasor or that Releasor can demonstrate was already known to Releasor prior to disclosure.

Representations, Indemnification and Liability

Releasor represents and warrants that Releasor has the full right and authority to enter into this Agreement and to grant the rights herein; that Releasor's appearance and any Materials will not violate the rights of any third party; and that no further permissions, releases or payments are required. Releasor shall indemnify, defend and hold Producer harmless from and against any claims, liabilities, losses or expenses arising out of breach of the foregoing representations.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified by the Producer below, without regard to conflicts of law principles.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether oral or written. Any amendment or modification must be in writing and signed by both parties.
