Either party may terminate this Agreement for material breach by the other party if such breach is not cured within the notice period specified above. Termination shall not relieve Client of the obligation to pay for services performed and materials purchased prior to termination.

Customer Authorization & Safety

Customer hereby authorizes Service Provider to access the premises and perform the work described herein. Customer acknowledges that power to the appliance and associated circuit must be shut off before work commences and agrees to permit Service Provider to disconnect power as necessary to perform the replacement safely.

Customer acknowledges possible paint/plaster disturbance, and any required additional electrical work beyond the agreed Scope of Work will be authorized in writing prior to commencement and may affect price and schedule.

Warranty; Limitation of Liability; Indemnity

Limitation of Liability: Except for willful misconduct or gross negligence, Service Provider's aggregate liability under this Agreement shall not exceed the total amount paid by Client to Service Provider for the specific work giving rise to the claim. Service Provider shall not be liable for incidental, consequential, or special damages.

Indemnity: Client shall indemnify and hold Service Provider harmless from claims, losses, or liability arising from pre-existing conditions not disclosed to Service Provider, misuse of the appliance, or unauthorized third-party modifications.

Confidentiality

Each party shall keep confidential all non-public business information obtained from the other party in connection with this Agreement and shall not disclose such information to third parties except as required by law. Confidential information does not include information that becomes publicly available without breach of this Agreement, or is independently developed by a receiving party.

Governing Law; Entire Agreement

This Agreement shall be governed by the laws of the governing jurisdiction stated above, without regard to conflict-of-law rules. Any dispute arising out of or relating to this Agreement shall be resolved in the courts of that jurisdiction unless the parties agree otherwise in writing.

Entire Agreement: This document constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior understandings and representations, whether oral or written. Any modification must be in writing and signed by both parties.
