TERM AND TERMINATION

Either party may terminate for material breach if the breaching party fails to cure within Notice Period: days after written notice. Termination shall not relieve Client of payment obligations for work performed and costs incurred prior to termination.

CONFIDENTIALITY

Each party shall keep confidential and shall not disclose to any third party any Confidential Information received from the other party, except as required by law. Confidential Information shall remain subject to these obligations for Confidentiality Term: years following disclosure. Confidential Information does not include information that is or becomes publicly available through no breach by the receiving party.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of State: without regard to its conflict of laws principles. Exclusive venue for disputes shall be the competent courts located in that state unless otherwise mutually agreed in writing.

ENTIRE AGREEMENT

This Agreement, including attachments and the approved label template, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings. Any amendment must be in writing and signed by authorized representatives of both parties.

NOTICES

Notices under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by notice in accordance with this section.

REPRESENTATIONS; AUTHORITY

Each party represents and warrants that it has the full right, power, and authority to enter into this Agreement and to perform its obligations hereunder.
