ARCHITECTURAL DRAWING SET AGREEMENT

This Architectural Drawing Set Agreement ("Agreement") is made effective as of Effective Date: by and between Architect Name: and Client Name: .

WHEREAS

WHEREAS, Architect is engaged in the business of preparing architectural drawings, specifications and related documents and possesses the skill and expertise necessary to prepare an architectural drawing set for the Project described below; and

WHEREAS, Client desires to retain Architect to prepare an architectural drawing set for the Project located at Project Address: , and Architect agrees to provide such services under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that this Agreement govern the scope, delivery, use, and ownership of the drawings and related documents prepared by Architect for the Project.

SCOPE OF WORK

DELIVERABLES

Deliverables shall include the drawing set and associated documents as specified in the List of drawings. Deliverable formats (select all that apply):

PAYMENT TERMS

Late payment shall incur a late fee of per month on overdue amounts, computed monthly.

REVISIONS AND CHANGES

Included review rounds: revision rounds. Additional revisions requested by Client beyond the included rounds shall be billed at per hour or per revision as agreed in writing.

PROJECT SCHEDULE; ACCEPTANCE

Architect shall commence work on or about Start Date: and shall deliver initial drawing set by Target Delivery Date: .

Client shall review submitted drawings and provide consolidated comments within days of delivery. Failure to provide timely comments constitutes acceptance of the delivered set for the purposes of proceeding to the next stage.

TERM AND TERMINATION

Term: This Agreement begins on Effective Date above and continues until Final Delivery Date: or until terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within Notice Period (days): days after written notice. Upon termination, Client shall pay Architect for all services performed and reimbursable expenses incurred through the effective date of termination.

CONFIDENTIALITY

Each party shall hold in strict confidence all technical, financial and business information of the other marked or reasonably understood to be confidential, and shall not disclose such information except to employees, consultants or contractors who need to know it to fulfill this Agreement and who are bound to confidentiality obligations no less restrictive than those in this Agreement. This obligation shall survive termination for a period of five years.

INTELLECTUAL PROPERTY; LICENSE

Architect retains copyright and ownership in all drawings, designs and other documents prepared by Architect. Upon full payment of all amounts due under this Agreement, Architect grants to Client a non-exclusive, non-transferable license to use the delivered drawing set for construction of the Project only. Any reuse, modification or use for other projects without Architect's prior written consent is prohibited and relieves Architect of any responsibility for such use.

CODE COMPLIANCE; STAMP/SEAL

Architect represents that drawings will be prepared in accordance with applicable building codes, ordinances and professional practice. Client acknowledges that local permitting authorities may require additional changes to documents; such changes are subject to change-order provisions.

INDEMNIFICATION

Each party shall indemnify and hold harmless the other party from claims, liabilities and expenses arising from the indemnitee's negligence or willful misconduct in performance of this Agreement. Architect's liability for claims arising from professional services shall be limited to the total compensation received for the services rendered under this Agreement.

GOVERNING LAW

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations, or agreements, whether written or oral. Amendments to this Agreement must be in writing and signed by both parties.
