ARCHITECTURAL SERVICES CONTRACT

This Architectural Services Contract (the "Agreement") is made and entered into as of , by and between Owner Name: with address (the "Owner"), and Architect Name: with address (the "Architect").

RECITALS

WHEREAS, Owner intends to undertake a construction project known as Project Name: located at Project Address: ; and

WHEREAS, Owner desires to retain Architect to provide architectural services for the Project, and Architect represents that it is duly qualified, licensed and able to perform such services in accordance with the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:

1. SCOPE OF SERVICES

Architect shall provide professional architectural services for the Project as described in the scope below. Architect shall perform services with the degree of care and skill ordinarily exercised by competent architects practicing under similar conditions in the same locality.

2. ARCHITECT'S RESPONSIBILITIES

Architect shall: (a) prepare schematic design, design development and construction documents; (b) coordinate drawings and specifications with consultants engaged by Architect; (c) prepare documents necessary for code compliance and permit applications; (d) respond to Owner's reasonable requests for information; and (e) render decisions and certifications in a timely manner. Architect shall maintain all required licenses and comply with applicable laws, codes and professional standards.

3. OWNER'S RESPONSIBILITIES

Owner shall provide project information, timely decisions, approvals, access to the site, and other information necessary for Architect to perform the services. Owner shall designate a representative authorized to act on Owner's behalf. Owner shall secure required financing and make timely payments to Architect as provided in this Agreement.

4. COMPENSATION AND PAYMENT

Owner shall pay Architect for services as follows. Fees shall be invoiced in accordance with the schedule below and are due within thirty (30) days of invoice date. Past due amounts shall accrue interest at the rate of one percent (1%) per month or the maximum lawful rate, whichever is less.

5. CHANGES AND ADDITIONAL SERVICES

Changes to the scope shall be made only by written change order signed by Owner and Architect specifying the change in scope, the change in compensation, and any change to the schedule. Architect shall not be required to perform additional services without an executed change order. Time and materials rates for additional services shall be provided upon request.

6. SCHEDULE AND DELIVERABLES

Architect shall use commercially reasonable efforts to meet the mutually agreed project schedule. Time is of the essence only where explicitly stated in a written amendment to this Agreement.

7. INTELLECTUAL PROPERTY AND DOCUMENTS

All drawings, specifications, and other documents prepared by Architect are instruments of service and Architect retains copyright therein. Upon full payment of amounts due, Architect grants Owner a non-exclusive, perpetual license to reproduce the documents for purposes of constructing, using and maintaining the Project. Owner shall not reuse documents on other projects without Architect's prior written consent and indemnifies Architect against such reuse.

8. INSURANCE AND INDEMNITY

Architect shall maintain professional liability insurance, commercial general liability, and employer's liability in commercially reasonable limits. Architect shall provide certificates upon request. Each party shall indemnify and hold harmless the other from claims arising from its negligent acts or omissions, subject to the limitations set forth in this Agreement.

9. TERMINATION

This Agreement may be terminated by either party upon written notice if the other party materially defaults and fails to cure within the required period. Upon termination, Owner shall pay Architect for services performed to the date of termination, including reimbursable expenses and costs of termination. Termination shall not prejudice any rights or remedies accrued prior to termination.

10. DISPUTE RESOLUTION

The parties shall attempt in good faith to resolve disputes through negotiation. If unresolved, disputes shall be submitted to mediation; if mediation fails, the parties agree to final and binding arbitration administered by a neutral forum in the specified jurisdiction, except where injunctive or provisional relief is sought in court.

11. LIMITATION OF LIABILITY

Except for liability arising from Architect's willful misconduct or gross negligence, Architect's total liability to Owner for any claim arising out of this Agreement shall not exceed the total compensation actually paid to Architect under this Agreement. Neither party shall be liable for consequential, incidental or punitive damages.

12. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

13. NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate by written notice.

14. AMENDMENTS, WAIVER, SEVERABILITY, ENTIRE AGREEMENT

This Agreement may be amended only by a written instrument signed by both parties. No waiver of any breach shall constitute a waiver of any other right. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings relating to the subject matter hereof.

15. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures transmitted by electronic means shall be deemed original signatures for all purposes.
