ART COMMISSION — STAINED GLASS AGREEMENT

Parties

This Agreement is entered into between:

Recitals

WHEREAS, Client desires to commission a custom stained glass artwork and Artist is an experienced stained glass designer and fabricator willing to produce such work upon the terms set forth in this Agreement;

WHEREAS, the parties have agreed the work will be described as Project Title: and will be installed at Location: ; and

WHEREAS, the parties desire to set forth their agreement in writing through the terms below.

Scope of Work

Artist will design, fabricate, finish and, if specified, install the stained glass artwork in accordance with the specifications below. All work shall conform to customary standards of the stained glass trade and to the specific requirements set out in this Agreement.

Payment Terms

Client agrees to pay Artist the total fee, with payments made according to the schedule below. Unless otherwise stated, amounts are in U.S. dollars.

Late payments accrue interest and collection costs. Late fee: percent per month on overdue balances; Client shall also reimburse Artist for reasonable costs of collection, including attorneys' fees.

Schedule and Completion

Artist will use commercially reasonable efforts to complete the work according to the schedule. Milestone dates are estimates and are subject to change for reasons including material lead times, weather, and permitting.

Change Orders

Any material change to design, materials, dimensions, installation or schedule must be approved in writing by both parties as a Change Order. Artist will provide an estimate of additional costs and time; no change will be made until Client approves the Change Order and any required additional deposit.

Term and Termination

This Agreement commences on the Effective Date and continues until final delivery and payment unless earlier terminated as provided below.

Effective Date:

Termination for Cause: Either party may terminate this Agreement upon written notice if the other party materially breaches and fails to cure the breach within days after receipt of notice specifying the breach. Termination shall not relieve Client of payment for work performed and materials ordered prior to termination.

Termination for Convenience: Either party may terminate for convenience upon days' prior written notice. Upon such termination Artist shall be paid for work performed and non-cancelable commitments made prior to receipt of notice, less any offset for Client damages.

Ownership, Copyright and Use

Artist retains copyright in the design and fabrication of the stained glass. Upon final payment in full, Artist grants Client a non-exclusive, non-transferable license to display the completed work at the specified installation location. Reproduction, copying, and resale of images or patterns of the work for commercial purposes is prohibited without Artist's prior written consent.

Material Title: Title to glass and other materials remains with Artist until paid in full. Risk of loss passes to Client upon delivery or installation, whichever occurs first, unless otherwise agreed in writing.

Confidentiality

Each party agrees not to disclose confidential or proprietary information of the other party disclosed in connection with this Agreement, except as required by law. Confidential information does not include information that is or becomes public through no breach of this Agreement, independently developed without reliance on confidential information, or rightfully received from a third party without restriction.

Warranties; Limitation of Liability

Artist warrants that the work will be free from defects in workmanship for a period of months from installation. This warranty excludes damage due to misuse, vandalism, acts of God, improper maintenance, or modifications by others. Except for gross negligence or willful misconduct, each party's aggregate liability shall not exceed the total fees paid under this Agreement.

Insurance; Permits

Artist shall maintain general liability insurance suitable for the work. Client is responsible for securing any required site permits, approvals, or access necessary for installation unless otherwise agreed. If Client requests Artist to obtain permits, Client shall reimburse Artist for permit fees and any related costs.

Governing Law; Dispute Resolution

This Agreement shall be governed by the laws of the State of without regard to its conflicts of law rules. The parties shall attempt to resolve disputes in good faith; if unresolved, disputes shall be submitted to binding arbitration in the county where Artist maintains its principal place of business, unless the parties agree otherwise in writing.

Entire Agreement; Amendments

This Agreement, including any written Change Orders signed by both parties, constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior or contemporaneous agreements, understandings and communications. Any amendment must be in writing and signed by both parties.

Notices

Notices hereunder shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing. Delivery by personal delivery, nationally recognized overnight courier, or certified mail is effective upon receipt.
