What an Art Lithograph Agreement Covers

An Art Lithograph Agreement is a written contract that documents the sale, licensing, or reproduction rights for a specific lithograph or limited-edition print. It identifies the artist and purchaser, describes the work and edition size, establishes pricing and payment terms, allocates copyright and reproduction rights or licenses, and sets delivery, returns, warranty, and authentication protocols. The agreement also addresses provenance, numbering/inspection procedures, and remedies for breach or misrepresentation to protect both parties and preserve the artwork’s market value.

Why use a formal agreement for lithographs

A clear written agreement reduces disputes by recording edition details, transfer of rights, warranties, payment schedules, and delivery terms. It documents provenance for resale, limits liability, and creates enforceable remedies if the work is misdescribed, reproduced without permission, or payment obligations are unmet.

Why use a formal agreement for lithographs

Who typically prepares or signs this agreement

Typical participants include creators, sellers, and institutional buyers; each party has distinct responsibilities and risks.

  • Artists and studios: prepare provenance, edition numbering, and warranty language; often control reproduction rights.
  • Galleries, dealers, or publishers: set payment, consignment, or resale terms and manage distribution.
  • Collectors and institutional buyers: verify authenticity, request inspection rights, and secure transfer of title documentation.

Parties should confirm signatory authority, include contact and tax data, and retain executed copies for provenance and tax reporting.

Principal signatories and roles

Artist (Creator)

The artist or authorized representative signs to confirm creation, edition size, and any retained rights. The artist warrants authenticity and discloses prior reproductions, and may assign or license reproduction rights in defined scope.

Gallery / Buyer

The buyer, gallery, or publisher signs to accept payment, delivery, and licensing terms. If consigning, the gallery confirms commission rates, resale procedures, and responsibilities for insurance and storage.

Key elements to include in a professional agreement

A thorough Art Lithograph Agreement organizes obligations, title transfer, and rights so that material facts are explicit and enforceable between parties.

Parties and Definitions

Clearly identify the artist, seller, buyer, and any publisher or agent; define terms such as 'edition', 'impression', and 'reproduction' to avoid ambiguity.

Work Description

Provide the artwork title, dimensions, medium, year created, edition number, unique identifiers, and attached images or certificates as exhibits.

Edition and Numbering

State edition size, numbering practice, proofs retained, and whether artist proofs or hors commerce pieces are included or excluded.

Rights and License

Specify whether copyright transfers, exclusive licenses, or limited reproduction rights are granted, and list permitted media, territories, and term length.

Payment and Taxes

Detail purchase price, deposits, payment schedule, sales tax or VAT treatment, and consequences for nonpayment or late payment.

Delivery and Acceptance

Set shipping responsibility, insurance in transit, inspection window on receipt, and remedies for damage, short shipment, or misdescription.
