ART ORDER FORM

This Art Order Form (the Agreement) is entered into by and between Client Name: and Artist Name: .

WHEREAS

WHEREAS, Artist is a professional visual artist who creates original artworks and custom commissions; and

WHEREAS, Client desires to commission Artist to produce the artwork described in this Agreement and Artist agrees to create and deliver said work pursuant to the terms set forth herein.

WHEREAS, the parties intend this Agreement to set forth the full understanding regarding the commission, payment, delivery, ownership and confidentiality of the commissioned work.

ORDER SUMMARY

SCOPE OF WORK

Artist shall create the commissioned artwork in accordance with the specifications above and shall provide preliminary sketches, progress updates, and a final deliverable as specified in the Approval and Revisions subsection below.

APPROVALS, REVISIONS AND DELIVERY

Artist will provide up to round(s) of client-requested revisions to the approved concept. Additional revisions will incur additional fees at Artist's standard hourly rate.

PAYMENT TERMS

Late payment incurs a late fee of applied to outstanding balance for each past due. Client shall reimburse Artist for any collection costs, including reasonable legal fees, incurred due to nonpayment.




TERM AND TERMINATION

This Agreement commences on Start Date: and continues until Completion Date: or until the obligations are fully performed.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for a period of days after written notice. Client may cancel prior to completion but will forfeit the deposit and may be responsible for additional reasonable cancellation fees to compensate Artist for work performed.

INTELLECTUAL PROPERTY & RIGHTS

Unless otherwise agreed in writing, Artist retains copyright and all moral rights in the artwork. Upon full payment of all sums due, Artist grants Client a non-exclusive license to display the physical artwork for personal or commercial use as specified: . Any reproduction, resale of editions, or commercial exploitation beyond this license requires a separate written agreement and additional compensation.

CONFIDENTIALITY

Each party agrees that confidential information disclosed by the other in connection with this Agreement shall be maintained in strict confidence and shall not be used or disclosed except to perform obligations under this Agreement or with prior written consent. Confidential information does not include information which is or becomes publicly known through no breach of this Agreement or which is rightfully received from a third party without restriction.

WARRANTIES; LIMITATION OF LIABILITY

Artist warrants that the work will be original and will not knowingly infringe any third-party rights. EXCEPT FOR THE FOREGOING LIMITED WARRANTY, THE ARTWORK IS PROVIDED "AS IS" AND ARTIST MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL OR PUNITIVE DAMAGES.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of: , without regard to its conflicts of law principles.

ENTIRE AGREEMENT
