ARTIST AUTHORIZATION AGREEMENT

This Artist Authorization Agreement ("Agreement") is made as of Effective Date: , by and between Client Name: with Address: , and Artist Name: with Address: .

RECITALS

WHEREAS, Artist creates, owns or controls certain original artistic works, designs, recordings, images, drafts, and related materials (collectively, the "Works"); and

WHEREAS, Client desires authorization to use specified Works for the purposes and in the manner set forth in this Agreement, and Artist is willing to grant such authorization subject to the terms and conditions below; and

WHEREAS, the parties intend that this Agreement set forth the full understanding regarding the authorization and use of the Works.

NOW, THEREFORE

In consideration of the mutual covenants and promises contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Works" means the artistic materials identified in Exhibit A and any related derivative materials created by Artist in connection with this Agreement. 1.2 "Territory" means the geographic area for authorized use. 1.3 "Term" means the period during which the authorization granted herein remains in effect.

2. GRANT OF AUTHORIZATION

2.1 Authorization. Subject to the terms and conditions of this Agreement, Artist hereby grants to Client the following authorization to use the Works: a limited right to reproduce, display, distribute, and otherwise use the Works in the media and for the purposes expressly described below.

3. TERM AND TERMINATION

3.1 Term. The authorization commences on the Effective Date and continues for a period of unless earlier terminated in accordance with this Agreement.

3.2 Termination for Cause. Either party may terminate this Agreement upon written notice if the other party materially breaches any obligation hereunder and fails to cure such breach within days after receipt of notice specifying the breach.

4. COMPENSATION

4.1 Fee. As consideration for the authorization granted herein, Client shall pay Artist a fee in the amount of .

4.2 Royalties. If applicable, Artist shall receive royalties of % of gross receipts derived from the licensed exploitation described in Section 2, subject to accounting described below.

5. ARTIST OBLIGATIONS

5.1 Delivery. Artist shall deliver the Works and any agreed deliverables by the deadlines set forth below and in Exhibit A. Deliverables:

5.2 Warranties. Artist represents and warrants that: (a) Artist is the sole owner of the Works or has the full right and authority to grant the authorization granted herein; (b) the Works are original and do not infringe upon the rights of any third party; and (c) Artist will not grant any right that materially conflicts with the rights granted to Client under this Agreement during the Term.

6. OWNERSHIP; COPYRIGHT

6.1 Ownership. Artist retains all right, title and interest in and to the Works, including all copyrights and moral rights, subject only to the limited authorization expressly granted to Client in Section 2. No transfer of ownership is intended except as expressly stated.

6.2 License Back. To the extent any Work incorporates Client material, Client grants Artist a limited, non-exclusive license to use such Client materials solely to perform Artist's obligations under this Agreement.

7. CREDIT AND MORAL RIGHTS

7.1 Credit. Client shall provide the following credit when reasonably practicable: Credit Line:

7.2 Moral Rights. Artist shall retain any non-waivable moral rights in the Works. To the extent permitted by applicable law, Artist hereby waives and agrees not to assert moral rights that would unreasonably interfere with Client's authorized uses under this Agreement.

8. CONFIDENTIALITY

Each party shall maintain in confidence any non-public information disclosed by the other party in connection with this Agreement and not disclose such information to third parties except as required by law or as necessary to exercise rights or perform obligations under this Agreement.

9. REPRESENTATIONS, WARRANTIES AND INDEMNIFICATION

9.1 Mutual Representations. Each party represents that it has the full power and authority to enter into this Agreement and to perform its obligations.

9.2 Indemnification. Artist shall indemnify, defend and hold harmless Client from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of Artist's breach of the representations in Section 5.2. Client shall indemnify, defend and hold harmless Artist from and against any claims arising from Client's use of the Works beyond the scope authorized herein.

10. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES. THE AGGREGATE LIABILITY OF EITHER PARTY ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY CLIENT TO ARTIST UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below or to such other address as a party may designate by notice.

12. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a writing signed by both parties. No waiver of any provision of this Agreement shall be effective unless in writing and signed by the party against whom enforcement is sought. This Agreement may be executed in counterparts, each of which shall be an original and all of which together shall constitute one instrument.

13. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

13.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of , without regard to conflict of laws rules.

13.2 Entire Agreement. This Agreement, together with any exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements and understandings.

13.3 Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect.

14. MISCELLANEOUS

14.1 Assignment. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Client may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.

14.2 Publicity. Except as expressly permitted in Section 2, neither party shall use the other party's name, trademarks or logos for promotional purposes without prior written consent.
