ARTIST-GALLERY LICENSING AGREEMENT

This Artist-Gallery Licensing Agreement ("Agreement") is made and entered into as of Effective Date: by and between Artist Name: whose address is ("Artist"), and Gallery Name: whose address is ("Gallery").

RECITALS

WHEREAS, Artist is the sole author and owner of certain works of visual art described in Schedule A attached hereto and incorporated herein; and

WHEREAS, Gallery operates an exhibition and sales venue and desires to obtain a license from Artist to exhibit and offer for sale certain of Artist's works under the terms set forth in this Agreement; and

WHEREAS, Artist is willing to grant such license to Gallery on the terms and conditions set forth below.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

1. GRANT OF LICENSE

1.1 License. Artist hereby grants to Gallery a limited license to display, reproduce (for promotional purposes only), and offer for sale the artworks listed in Schedule A during the Term and within the Territory, subject to the terms and restrictions of this Agreement. The license granted is: Exclusive Non-exclusive (select one).

1.2 Scope. The license is limited to physical exhibition within Gallery premises and to reproduction in printed or electronic promotional materials directly related to the exhibition. Any use beyond the foregoing requires prior written consent of Artist.

2. ARTWORKS; DELIVERY; INSPECTION

2.1 Delivery. Artist shall deliver the artworks to Gallery's address set forth above by Delivery Date: . Gallery shall inspect artworks upon receipt and notify Artist in writing within calendar days of any defects or discrepancies.

3. TERM; TERRITORY; EXHIBITION

3.1 Term. The term of this Agreement shall commence on Exhibition Start Date: and shall continue until Exhibition End Date: unless earlier terminated in accordance with Section 11.

4. PRICING; SALES; PAYMENT

4.1 Pricing. Gallery may set retail prices for the artworks in its sole discretion, provided that any marked retail price shall be disclosed to Artist in writing prior to sale.

4.2 Commission / Royalty. For each sale of an Artwork during the Term, Gallery shall pay Artist a royalty equal to % of the gross sale price, less applicable sales taxes and shipping charges. Payment shall be made within days following receipt of payment from the purchaser, together with a written statement itemizing sales.

5. INTELLECTUAL PROPERTY; CREDIT; REPRODUCTIONS

5.1 Copyright. Artist retains all right, title and interest in and to the copyrights in the artworks. Gallery's license is limited to the display and promotional reproductions expressly granted in Section 1.

5.2 Credit. Gallery shall provide reasonable credit to Artist in any promotional material and adjacent to exhibited works in substantially the form provided by Artist.

6. WARRANTIES AND REPRESENTATIONS

Artist represents and warrants that Artist is the sole creator and owner of the artworks listed in Schedule A, that the artworks are original and do not infringe any third-party rights, and that Artist has full authority to grant the rights granted herein. Gallery represents and warrants that it will use the artworks consistent with the terms of this Agreement and applicable law.

7. INSURANCE; RISK OF LOSS

7.1 Insurance. Gallery shall maintain insurance covering the artworks while in Gallery's custody, with coverage not less than per item or such greater amount as agreed in writing. Gallery shall provide Artist with evidence of such insurance upon request.

7.2 Risk of Loss. Title to and risk of loss for artworks shall remain with Artist until delivery to Gallery; thereafter risk of loss shall be with Gallery while artworks are in Gallery's possession.

8. INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against all liabilities, losses, damages, claims and expenses (including reasonable attorneys' fees) arising out of or resulting from the indemnifying party's breach of this Agreement, negligence, willful misconduct, or violation of applicable law.

9. TERMINATION; RETURN OF ARTWORK

9.1 Termination for Cause. Either party may terminate this Agreement upon written notice if the other party materially breaches any provision and fails to cure within days after receipt of written notice specifying the breach.

9.2 Return. Upon expiration or termination, Gallery shall return the artworks to Artist at Gallery's expense within days, in the same condition as received, reasonable wear and tear excepted.

10. CONFIDENTIALITY

Each party agrees to keep confidential non-public business information disclosed by the other party in connection with this Agreement and not to use such information except as necessary to perform its obligations hereunder. Confidentiality obligations do not apply to information that is publicly known or rightfully received from a third party.

11. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered by hand, overnight courier, or certified mail to the addresses set forth below or to such other address as a party may designate by written notice.

12. AMENDMENTS; WAIVER

This Agreement may be amended only by a written instrument executed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right, and no single or partial exercise of any right shall preclude any other or further exercise of that right.

13. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising under this Agreement.

14. ENTIRE AGREEMENT; SEVERABILITY

This Agreement, including Schedule A and any written attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
