ARTIST REPRESENTATION AGREEMENT

This Artist Representation Agreement (the Agreement) is made effective as of by and between Representative: , with principal place of business at (Representative), and Artist Name: , residing at (Artist).

RECITALS

WHEREAS, Artist is engaged in the creation, performance and exploitation of artistic works and performances and seeks professional representation to procure engagements, contracts and opportunities for the use, sale and licensing of Artist's services and creative output;

WHEREAS, Representative is in the business of procuring and negotiating engagements, licensing, and other business opportunities for performing and recording artists and has the experience, contacts and resources to represent Artist's interests in the Territory and Markets described below; and

WHEREAS, the parties desire to set forth the terms and conditions under which Representative will represent Artist.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. APPOINTMENT

Artist hereby appoints Representative as Artist's Exclusive representative and/or Non-exclusive representative (select applicable box; if both boxes are left unchecked, the appointment is non-exclusive by default) to solicit, negotiate and conclude agreements for Artist's engagements, recordings, performances, endorsements and other commercial exploitation of Artist's name, image, likeness and works in the Territory defined below.

2. TERM

The term of this Agreement shall commence on the effective date set forth above and continue for a period of (Initial Term), unless earlier terminated in accordance with Section 9. Upon expiration of the Initial Term, this Agreement shall automatically renew for successive periods of unless either party gives written notice of non-renewal at least days prior to the end of the then-current term.

3. TERRITORY

Representative's authority under this Agreement is limited to the following territory: . Representative shall not enter into agreements on behalf of Artist outside the Territory without Artist's prior written consent.

6. COMPENSATION

As full compensation for Representative's services, Artist agrees to pay Representative a commission equal to of gross monies actually received by Artist or Artist's designees in respect of transactions procured by Representative during the Term.

7. PAYMENT PROCEDURES; ACCOUNTING

Representative shall collect commissions on Artist's behalf and shall render written accounting to Artist within days after receipt of monies; all payments due to Artist shall be accompanied by statements detailing gross amounts, deductions and commissions. Representative shall hold Artist funds in a fiduciary account and shall not commingle Artist funds with Representative's operating funds.

8. EXPENSES

Unless otherwise agreed in writing, Artist shall be responsible for reasonable out-of-pocket expenses incurred in connection with procurement of engagements, including but not limited to travel, promotional materials and recording costs, which shall be reimbursable by Artist to Representative upon presentation of receipts. Representative shall not incur expenditures in excess of without Artist's prior written consent.

9. TERMINATION

This Agreement may be terminated by either party upon written notice to the other if the other party materially breaches any provision of this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach. In addition, either party may terminate for insolvency or bankruptcy of the other party.

10. REPRESENTATIONS AND WARRANTIES

Artist represents and warrants that Artist has the full right and authority to enter into this Agreement and to perform hereunder; that Artist is not under any existing contract or obligation that would conflict with the rights granted to Representative; and that Artist's services and materials delivered under engagements will not infringe upon the rights of third parties. Representative represents and warrants that it is properly authorized to act as a representative and will perform services in a professional manner.

11. CONFIDENTIALITY

Each party agrees to keep confidential the financial terms of contracts and other non-public information received from the other party, except as required by law or to the extent necessary to perform its obligations under this Agreement. Confidential information shall not include information that is public through no fault of the receiving party.

12. INDEMNIFICATION; INSURANCE

Each party shall indemnify, defend and hold harmless the other party from and against any claims, liabilities, losses or expenses (including reasonable attorneys' fees) arising out of breach of representations, willful misconduct or negligence by the indemnifying party. Artist agrees to maintain appropriate liability insurance for performances and events and shall name Representative as an additional insured where reasonably requested.

13. ASSIGNMENT

Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other party, provided however that Representative may assign this Agreement to an affiliate or in connection with a merger or sale of substantially all of Representative's assets, provided that such assignee assumes all of Representative's obligations hereunder.

14. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by certified mail return receipt requested, or by nationally recognized overnight courier to the addresses below.

15. MISCELLANEOUS

Governing Law: This Agreement shall be governed by and construed in accordance with the substantive laws of the state or jurisdiction indicated by Representative's principal place of business, without regard to conflict of laws principles. Parties may indicate an alternative governing jurisdiction by mutual written agreement.

Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior understandings and agreements, whether written or oral. No additional terms or modifications shall be binding unless executed in writing by both parties.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be reformed to the minimum extent necessary to make it enforceable.

Amendments; Waiver: No amendment or waiver of any provision of this Agreement shall be effective unless made in writing and signed by both parties. Failure to enforce any provision shall not constitute a waiver of future enforcement of that or any other provision.

Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be deemed to be original signatures.
