ARTIST RIGHTS ASSIGNMENT AGREEMENT

This Artist Rights Assignment Agreement (the Agreement) is made as of by and between Artist Name: , an individual whose address is (Assignor), and Assignee Name: , a business entity organized under the laws of with principal place of business at (Assignee).

RECITALS

WHEREAS, Assignor is the creator of certain original artistic works and related materials described herein (the Works) and has the right to assign the copyrights and related rights therein; and

WHEREAS, Assignee desires to acquire and exploit the rights in the Works for commercial and non-commercial uses, and Assignor agrees to assign such rights subject to the terms and consideration set forth in this Agreement; and

WHEREAS, the parties intend this Agreement to be a complete assignment of the rights specified below except as expressly reserved herein.

NOW, THEREFORE

In consideration of the mutual promises and the covenants contained herein and other good and valuable consideration, receipt of which is hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Works" means the artistic works, designs, illustrations, photographs, sketches, digital files and any derivative or preparatory materials created by Assignor and delivered to Assignee, as described in Exhibit A and any subsequent written description agreed by the parties.

1.2 "Assigned Rights" means all rights, title and interest throughout the world in and to the Works, including but not limited to copyrights, moral rights to the extent waivable, neighboring rights, and all renewals and extensions thereto.

2. ASSIGNMENT OF RIGHTS

2.1 Assignor hereby irrevocably assigns, transfers and conveys to Assignee all Assigned Rights in the Works, whether now known or hereafter recognized, for the full statutory term of protection, including all rights to publish, reproduce, distribute, adapt, publicly display, perform, and otherwise exploit the Works in any and all media now known or hereafter developed.

2.2 The assignment includes the right of Assignee to register copyrights, apply for and receive registrations, and to enforce the Assigned Rights in Assignee's own name, without further consent from Assignor.

3. CONSIDERATION; PAYMENT TERMS

3.1 As full and complete consideration for the assignment of rights described in this Agreement, Assignee shall pay Assignor the sum of USD, payable as follows:

3.2 Unless otherwise stated, amounts payable to Assignor shall be paid by bank transfer or check within days after receipt of a proper invoice.

4. DELIVERY; MATERIALS

4.1 Assignor shall deliver to Assignee all original source files, high-resolution masters and any physical materials necessary for Assignee to exploit the Works (Collectively, the Materials) within days of the Effective Date.

5. MORAL RIGHTS; WAIVER

5.1 To the maximum extent permitted by law, Assignor hereby irrevocably waives and agrees not to assert any moral rights, droit moral, or similar rights in connection with the Works and consents to any modification, adaptation, or use of the Works by Assignee.

5.2 Assignor agrees that any attribution or credit is at Assignee's sole discretion except where a written credit obligation is set forth in Section 6 below.

6. CREDIT; ATTRIBUTION

6.1 If Assignee elects to provide credit, it shall credit Assignor as follows:

7. REPRESENTATIONS AND WARRANTIES

Assignor represents and warrants that (a) Assignor is the sole author of the Works or has full authority to assign the Assigned Rights; (b) the Works are original to Assignor and do not infringe the rights of any third party; (c) no license or other agreement exists that would impair the Assigned Rights; and (d) Assignor has full power and authority to enter into and perform this Agreement.

Assignee represents and warrants that it has the corporate or organizational power and authority to enter into this Agreement and to perform its obligations hereunder.

8. INDEMNIFICATION

Assignor shall indemnify, defend and hold harmless Assignee and its successors and permitted assigns from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of any breach of Assignor's representations and warranties in this Agreement. Assignee shall indemnify Assignor to the extent claims arise from Assignee's exploitation of the Works in breach of this Agreement.

9. FURTHER ASSURANCES

At Assignee's expense, Assignor agrees to execute and deliver such further documents and to perform such acts as may be reasonably necessary to effectuate the purposes of this Agreement, including but not limited to executing copyright registration applications and assignments.

10. TERM; TERMINATION

This Agreement shall be effective as of the Effective Date and shall continue for the duration of the Assigned Rights unless earlier terminated by written agreement of the parties. Termination shall not affect rights already granted or obligations accrued prior to termination.

11. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or three (3) business days after deposit in the mail, postage prepaid, addressed to the parties at their addresses set forth below or to such other address as either party may specify in writing.

12. AUDIT RIGHTS

If this Agreement provides for ongoing royalty or revenue sharing, Assignor shall have the right, no more than once per calendar year and upon reasonable notice, to inspect relevant financial records of Assignee to verify amounts due. Any such inspection shall be conducted during normal business hours and with confidentiality protections for Assignee's proprietary information.

13. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction identified below without regard to conflict of law principles.

14. ENTIRE AGREEMENT; SEVERABILITY; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings and negotiations. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement may be amended only by a written instrument signed by both parties.

15. WAIVER; COUNTERPARTS

The failure of either party to enforce any right or remedy shall not constitute a waiver of such right or remedy. This Agreement may be executed in counterparts, each of which shall be deemed an original, and electronic or facsimile signatures shall be deemed originals for all purposes.

16. MISCELLANEOUS

The headings in this Agreement are for convenience only and shall not affect interpretation. All obligations that by their nature survive termination or expiration of this Agreement shall so survive.
