Artist Services Contract

This Artist Services Contract (the "Agreement") is entered into as of by and between Client Name: (the "Client"), and Artist Name: (the "Artist"). Client and Artist are each a "Party" and collectively the "Parties."

RECITALS

WHEREAS, the Client desires to engage the Artist to provide creative services described herein for the purpose of producing certain artistic works and related deliverables; and

WHEREAS, the Artist represents that the Artist possesses the skill, experience, and professional qualifications to perform the services and create the deliverables in accordance with the terms of this Agreement; and

WHEREAS, the Parties wish to set forth their respective rights and obligations with respect to the Artist's engagement by the Client.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:

1. SERVICES

1.1 Engagement. The Client hereby engages the Artist, and the Artist accepts such engagement, to provide the services and deliverables described in this Agreement (the "Services") in accordance with the terms and schedule set forth below.

2. TERM

2.1 Term. The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with Section 13.

3. COMPENSATION AND PAYMENT

3.1 Fees. As full compensation for the Services, Client shall pay Artist a fee of (the "Fee") in accordance with this Section.

3.2 Late Payment. If any amount owed by Client is not paid within 30 days after the due date, Artist may suspend performance and Client shall pay interest on the overdue amount at the lesser of 1.5% per month or the maximum rate permitted by law.

4. EXPENSES

4.1 Reimbursable Expenses. Client shall reimburse Artist for pre-approved, reasonable out-of-pocket expenses incurred in connection with the performance of the Services. Pre-approval must be given in writing.

5. TRAVEL AND ACCOMMODATION

5.1 If Services require travel or accommodation, Client shall either arrange such travel and accommodation or reimburse Artist for reasonable costs, subject to prior written approval.

6. INTELLECTUAL PROPERTY & LICENSES

6.1 Ownership. Unless the Parties expressly agree otherwise in writing, Artist shall retain all ownership, including copyrights, in and to original artwork, designs, sketches, and other materials created by Artist in connection with the Services (the "Artist Materials"). Client shall receive only the rights expressly granted in this Agreement.

6.2 Moral Rights. To the extent permitted by law, Artist hereby waives, and shall cause its successors and assigns to waive, any moral rights in the delivered work that could interfere with Client's intended use as licensed herein.

7. DELIVERY AND ACCEPTANCE

7.1 Delivery. Artist shall deliver the deliverables described in Section 1 by .

7.2 Acceptance. Client shall have days from receipt to inspect and either accept or provide written notice of defects. Failure to provide timely written notice shall constitute acceptance.

8. REPRESENTATIONS AND WARRANTIES

8.1 Artist represents and warrants that (a) the Services will be performed in a professional manner consistent with industry standards, (b) the deliverables will be original to the Artist and will not infringe or misappropriate any third-party intellectual property rights, and (c) Artist has the full power and authority to enter into this Agreement.

8.2 Client represents and warrants that it has the authority to engage Artist, that any materials provided to Artist do not infringe third-party rights, and that Client will comply with its obligations hereunder.

9. INDEMNIFICATION

9.1 Mutual Indemnity. Each Party shall indemnify, defend and hold harmless the other Party from and against any and all third-party claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of the indemnifying Party's breach of this Agreement, negligence, willful misconduct, or infringement of third-party rights.

10. INSURANCE

10.1 Insurance. During the Term, Artist shall maintain insurance coverage customary for artists performing similar services, including general liability and, where applicable, workers' compensation and automobile insurance. Upon request, Artist will provide certificates of insurance reasonably acceptable to Client.

11. CONFIDENTIALITY

11.1 Confidential Information. Each Party acknowledges that during the Term it may receive Confidential Information of the other Party. Confidential Information shall not be disclosed or used except as reasonably necessary to perform under this Agreement. Confidentiality obligations shall survive termination for a period of three (3) years.

12. CANCELLATION AND TERMINATION

12.1 Termination for Convenience. Either Party may terminate this Agreement for convenience upon written notice to the other Party given at least days prior to the effective date of termination. Client shall pay Artist for Services performed and expenses incurred through the effective date of termination.

12.2 Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party materially breaches this Agreement and fails to cure such breach within 15 days after receipt of written notice.

13. FORCE MAJEURE

13.1 Neither Party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, government action, pandemics, strikes, or shortages of materials or transportation. The affected Party shall promptly notify the other and use commercially reasonable efforts to resume performance.

14. INDEPENDENT CONTRACTOR

14.1 Artist is an independent contractor and not an employee, agent, or legal representative of Client. Artist shall determine the method and means of performing the Services and shall be responsible for payment of all taxes and benefits relating to Artist's performance hereunder.

15. TAXES

15.1 Each Party shall be responsible for its own taxes arising from performance of this Agreement. Client shall not withhold taxes on payments to Artist except as required by applicable law.

16. NOTICES

16.1 All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below or to such other address as a Party may designate by notice hereunder.

17. AMENDMENTS AND WAIVER

17.1 No amendment or modification of this Agreement shall be effective unless set forth in a written instrument signed by both Parties. Waiver of any breach shall not constitute a waiver of any other breach.

18. GOVERNING LAW; VENUE

18.1 This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any disputes arising out of this Agreement.

19. ENTIRE AGREEMENT; SEVERABILITY; COUNTERPARTS

19.1 Entire Agreement. This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the Parties and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to the subject matter hereof.

19.2 Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the Parties shall negotiate in good faith a valid substitute provision that comes closest to the Parties' original intent.

19.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be deemed original.
