ARTISTIC ARTWORK AGREEMENT

This Artistic Artwork Agreement ("Agreement") is entered into as of between Artist: and Client: .

WHEREAS

WHEREAS, Artist is engaged in the creation of original visual art and possesses the skills and expertise to create the Artwork described below; and

WHEREAS, Client desires to commission Artist to create the Artwork for the purposes and on the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Artist shall create the artwork titled (the "Artwork") in accordance with the specifications described below and incorporated into this Agreement.

DELIVERABLES, DELIVERY & ACCEPTANCE

Deliverables: Artist will deliver the finished Artwork and any agreed intermediate deliverables. Delivery method:

Acceptance: Client shall have from receipt to inspect the Artwork and notify Artist in writing of any nonconformity. If Client fails to provide timely written notice, the Artwork shall be deemed accepted.

PAYMENT TERMS

Total Fee (for creation of Artwork and specified deliverables):

Final balance is due upon acceptance. Late payment shall incur a late fee of on outstanding amounts, calculated from the due date until paid in full. Client is responsible for any collection costs and reasonable attorneys' fees to enforce payment.

REVISIONS

OWNERSHIP, COPYRIGHT & LICENSE

Artist retains all copyright and moral rights in the Artwork, subject to the limited license granted below. Any transfer of copyright shall be effective only by a separate written instrument signed by Artist and Client.

License granted to Client: Upon full payment, Artist grants Client a exclusive non-exclusive license to use, display, and reproduce the Artwork for the following uses:

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed in connection with this Agreement. Confidentiality obligations shall remain in effect for years following termination or expiration, except as required by law.

TERM AND TERMINATION

This Agreement shall commence on and shall terminate on unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after written notice. Termination by Client prior to completion will not relieve Client of payment obligations for work performed and reasonable costs incurred through termination.

WARRANTIES & REPRESENTATIONS; INDEMNIFICATION

Artist warrants that the Artwork will be original to Artist and will not infringe the rights of any third party. Client warrants that any materials or information provided to Artist do not infringe third-party rights.

Each party agrees to indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, damages and reasonable costs (including attorneys' fees) arising from the indemnifying party's breach of its representations or obligations under this Agreement.

LIMITATION OF LIABILITY

Except for liability arising from willful misconduct or gross negligence, in no event shall either party be liable for indirect, incidental, consequential, special or punitive damages. The total aggregate liability of either party under this Agreement shall not exceed the total fees paid by Client to Artist under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of law principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any exhibits or schedules hereto, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements and understandings. Any amendment or modification must be in writing and signed by both parties.

MISCELLANEOUS

Notices shall be given in writing to the contact information provided above. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
