Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with the terms below.

Either party may terminate for convenience upon Notice Period of days prior written notice. Immediate termination may occur for material breach, noncompliance with law, or presentation of a prohibited waste.

Confidentiality

Each party shall treat as confidential all non-public technical, business, and waste profiling information disclosed in connection with this transaction. Confidential information shall not include information that is or becomes public other than through a breach of this provision, or is required to be disclosed by lawful order. Confidential information shall be used only for performance under this Agreement.

Indemnification and Liability

Generator indemnifies, defends, and holds harmless Receiving Facility and its employees from all claims, liabilities, losses, and expenses arising from inaccurate information, improper packaging, or unlawful disposal practices by Generator or its contractors. Facility's liability for any claim arising out of acceptance or disposal shall be limited to proven direct damages and shall exclude consequential damages, except for damages caused by Facility's gross negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state selected by the parties in the field below.

Entire Agreement

This document, together with any attachments, manifests, and supporting analytical reports expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements and understandings, whether written or oral.
