ASBESTOS INSPECTION CONTRACT

Parties and Property

Recitals

WHEREAS, Client Name: owns or controls the property identified above and requires professional asbestos inspection services; and

WHEREAS, Contractor Name: represents that it is qualified and licensed to perform asbestos inspections, sampling, and reporting in accordance with applicable laws and standard industry practice; and

WHEREAS, the parties desire to set forth the terms under which Contractor will perform an asbestos inspection and provide related reports and services for the property.

Scope of Work

Contractor shall perform the asbestos inspection services described below. The following scope is a material term of this Agreement:

Inspection Services and Sampling

The inspection shall include the following services selected by agreement of the parties:

Visual inspection of accessible areas

Bulk material sampling for laboratory analysis

Air sampling (personal or area) and analysis

Clearance inspection and sampling following abatement

Sample Handling and Laboratory Analysis

Contractor will collect samples using methods consistent with industry standards and will document chain of custody. Samples submitted for analysis will be analyzed by an accredited laboratory. Laboratory turn-around, reporting of results, and any confirmatory procedures shall be described in the report. Client acknowledges that laboratory results are subject to laboratory limitations and inherent sampling variability.

Payment Terms

Client shall pay Contractor the fees and expenses set forth below. All payments must be made in United States currency unless otherwise agreed in writing.

Report and Deliverables

Contractor will prepare a written report documenting findings, sample locations, laboratory results, and observations. The report will include a map or floor plan showing sample points when applicable.

Term and Termination

This Agreement commences on Start Date: and shall continue until End Date: , unless earlier terminated as provided herein.

Upon termination, Client shall pay Contractor for all services performed and expenses incurred through the effective date of termination.

Confidentiality

Each party will treat the other party's non-public information concerning the property, laboratory results, and reports as confidential and will not disclose such information except as required by law or as necessary to perform the services or to third-party laboratories and consultants retained to assist with the inspection. Contractor may disclose sampling information to laboratory personnel and to regulatory authorities where required.

Limitation of Liability and Indemnity

Contractor's liability for claims arising out of or related to this Agreement, whether in contract, tort (including negligence), or otherwise, shall be limited to direct damages and in no event shall exceed the total fees paid by Client under this Agreement. In no event shall Contractor be liable for consequential, incidental, punitive, or special damages. Client shall indemnify and hold Contractor harmless from claims arising from Client's acts or omissions, site conditions unknown to Contractor at the time of inspection, or from disturbance of asbestos-containing materials by third parties.

Insurance and Licensing

Contractor represents that it maintains insurance coverage customary for asbestos inspection services, including general liability and professional liability where applicable. Upon Client's written request, Contractor will provide proof of insurance and applicable licensing credentials.

Access and Site Preparation

Client shall provide access to the property, secure utilities as required, and ensure work areas are safe and accessible on the agreed inspection date: . Client acknowledges that undisclosed hazards, locked or inaccessible areas, or unsafe site conditions may limit the scope of inspection.

Compliance with Laws

Contractor will perform services in a manner consistent with applicable laws, regulations, and accepted industry standards. Client acknowledges responsibility for compliance with regulatory obligations arising from discovery of asbestos and for obtaining any required permits for subsequent abatement or disturbance.

Governing Law; Entire Agreement; Severability

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles. This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior written or oral agreements. If any provision is held invalid, the remaining provisions shall continue in full force and effect.
