This Asbestos Services Proposal ("Proposal") is entered into between Client Name: and Contractor Name: on Proposal Date: .

Recitals

WHEREAS, Client owns or controls the property located at Work Location: and requires asbestos-related services; and

WHEREAS, Contractor is duly licensed and qualified to perform asbestos inspection, sampling, abatement, monitoring and disposal services and represents that it will perform all work in compliance with applicable laws, regulations and industry standards; and

WHEREAS, the parties desire to set forth the scope, price, schedule and terms under which Contractor will perform asbestos services at the Work Location.

Scope of Work

Contractor shall perform the asbestos services described below in accordance with accepted industry practices and all applicable legal requirements. Contractor's responsibilities include mobilization, preparation of regulated areas, engineering controls, containment, removal, packaging, transport and disposal of asbestos-containing materials where applicable, air monitoring, and final clearance testing, as specified in the scope.

Estimated Cost Summary & Payment Terms

The estimated cost for the services described above is set forth below. All amounts are estimates based on current scope; changes in scope, unforeseen conditions, additional required testing or disposal costs will be subject to written change orders and may alter the final price.

Late Payment: Any undisputed amount not paid when due shall incur a late fee of on the outstanding balance, or the maximum allowed by law, whichever is less. Client is responsible for all collection costs, including reasonable attorney fees, on overdue amounts.

Term and Termination

Term Commencement: Services shall commence on Start Date: and are estimated to be completed by End Date: subject to field conditions and permitting.

Either party may terminate this Proposal for material breach if the breaching party fails to cure such breach within Notice Period: days of written notice. Termination for convenience by Client shall require payment for work performed, reasonable demobilization costs, and disposal costs incurred to the date of termination.

Health, Safety, Compliance and Insurance

Contractor shall perform all activities in compliance with applicable occupational safety and environmental laws, regulations and industry standards. Contractor shall maintain insurance coverage customary for asbestos abatement operations, including general liability, workers' compensation and pollution liability, and shall provide certificates of insurance upon request. Client shall secure any necessary access permits and notify Contractor of site-specific hazards known to Client.

Confidentiality

Each party shall treat as confidential and shall not disclose to third parties any non-public proprietary information of the other party obtained in connection with this Proposal, except as required by law, regulatory authority, or as necessary to perform the services. Confidentiality obligations survive termination of this Proposal for a period of three (3) years.

Indemnification

Contractor agrees to defend, indemnify and hold Client harmless from third-party claims arising out of Contractor's negligent performance of the asbestos services. Client agrees to indemnify Contractor from liabilities arising from Client's failure to disclose known site conditions or from actions outside Contractor's control. Indemnification is subject to applicable limits established by law.

Change Orders and Additional Work

Any change to the scope, schedule or price shall be documented in a written change order signed by both parties prior to commencement of the changed work. Contractor shall be entitled to compensation for additional services at rates agreed in the change order.

Governing Law; Dispute Resolution

This Proposal shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties shall attempt in good faith to resolve disputes promptly by negotiation between executives. If unresolved, disputes shall be resolved by binding arbitration or litigation as selected in a subsequently executed agreement.

Entire Agreement

This Proposal, together with any attached exhibits and executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations and understandings, whether written or oral. No modification shall be effective unless executed in writing by authorized representatives of both parties.
