WHEREAS, Client Name: desires to obtain an assessment of the systems, processes, or property described in this Agreement; and

WHEREAS, Assessor Name: has the qualifications, experience, and capacity to perform the requested assessment on the terms set forth below;

WHEREAS, the parties agree that this Agreement becomes effective as of , (the "Effective Date").

SCOPE OF WORK

The Assessor shall perform a professional assessment as described below. The assessment shall include data collection, analysis, findings, and recommended actions. The parties acknowledge that the scope may be amended by written change order signed by both parties.

PAYMENT TERMS

Client shall pay Assessor fees as compensation for the services. Unless otherwise stated below, fees are exclusive of applicable taxes and reimbursable expenses incurred in connection with the performance of the assessment.

TERM AND TERMINATION

This Agreement shall commence on the Start Date and continue until the End Date, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon days' written notice to the other party. Termination for material breach is permitted if the breaching party fails to cure within days after written notice.

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive Confidential Information of the other. "Confidential Information" means non-public information disclosed in any form that is designated confidential or that a reasonable person would understand to be confidential. Each party agrees to: (a) hold Confidential Information in confidence using at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; (b) use Confidential Information solely for the purposes of performing this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein.

Exceptions: Confidential Information does not include information that is or becomes publicly available through no breach by the receiving party, was rightfully known by the receiving party prior to receipt, or is independently developed without use of the disclosing party's Confidential Information. Disclosure required by law must be preceded, where permitted, by prompt notice to the disclosing party to allow it to seek protective measures.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to that State's conflict of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that State for disputes arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, including any attachments or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

ADDITIONAL PROVISIONS

Notices required or permitted under this Agreement shall be in writing and delivered to the addresses listed in the Parties section or to such other address as either party may designate in writing. Delivery may be by personal delivery, nationally recognized overnight courier, or certified mail.
