TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above. Upon termination, Recipient shall return or otherwise account for all Assets in its possession or control and shall cooperate with Owner to effectuate return or disposition in accordance with Owner's lawful instructions.

CONFIDENTIALITY

Recipient acknowledges that certain information about the Assets, their configuration, usage, maintenance and related business information may be Confidential Information of Owner. Recipient shall not disclose, publish, or disseminate any Confidential Information except as required by law or as expressly permitted in writing by Owner. Recipient shall take all reasonable measures to prevent unauthorized use or disclosure and shall hold Confidential Information in strict confidence for the term of this Agreement and for a period of three (3) years thereafter.

Recipient acknowledges and agrees to the Confidentiality obligations set forth in this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located within that state for enforcement of this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any attachments or schedules referenced herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by both parties.
