ASSET DISTRIBUTION AGREEMENT

This Asset Distribution Agreement (the "Agreement") is made and entered into as of by and between Party A: with principal address , and Party B: with principal address .

RECITALS

WHEREAS, Party A and Party B (each a "Party" and together the "Parties") jointly own or hold interests in the assets described in Schedule A attached hereto (the "Assets"), and the Parties desire to allocate, transfer, assign, or otherwise distribute the Assets between them in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, the Parties wish to set forth the method, timing, and warranties related to the distribution, including procedures for transfer of title, assumption of liabilities, tax allocation, and indemnification for obligations arising from the Assets.

WHEREAS, the Parties intend that such distribution be binding, final, and enforceable as provided herein.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

1.1 "Allocated Assets" means those specific assets listed in Schedule A and any proceeds realized from disposition of such assets.

1.2 "Distribution Effective Date" means the date on which title and risk of loss transfer as specified in Section 3. The Parties may identify the intended Distribution Effective Date as .

2. DISTRIBUTION OF ASSETS

3.1 Transfer Mechanics. Unless otherwise agreed in writing, on the Distribution Effective Date the transferring Party shall execute and deliver to the receiving Party all instruments of transfer, assignment, bills of sale, endorsements, consents, certificates, and other documentation reasonably necessary to transfer title to the Allocated Assets free and clear of encumbrances, except as expressly assumed in this Agreement.

3.2 Distribution Effective Date. The Parties designate the Distribution Effective Date as unless otherwise agreed in writing.

4. REPRESENTATIONS AND WARRANTIES

4.1 Mutual Representations. Each Party represents and warrants to the other that: (a) it has full corporate or legal power and authority to enter into and perform this Agreement and to consummate the transactions contemplated hereby; (b) the execution, delivery and performance of this Agreement has been duly authorized; and (c) this Agreement constitutes a valid and binding obligation enforceable in accordance with its terms, except as limited by applicable bankruptcy, insolvency or similar laws affecting enforcement of creditors' rights generally.

4.2 Asset-Specific Warranties. Each transferring Party warrants that, as to the Allocated Assets being transferred by it: (a) it is the lawful owner of such Assets or has the authority to transfer them; (b) the assets are free and clear of liens, claims or encumbrances except as disclosed in Schedule A; and (c) no consent of any third party is required except as disclosed in Schedule A.

5. TAXES AND LIABILITIES

5.1 Allocation of Taxes. Except as otherwise stated in Schedule A, each Party shall be responsible for any taxes, assessments, or governmental charges attributable to the period prior to the Distribution Effective Date with respect to assets allocated to that Party; taxes attributable to periods after the Distribution Effective Date shall be the responsibility of the Party receiving the asset.

5.2 Withholding. Each Party agrees to provide such documentation as may be reasonably necessary to permit the other Party to comply with applicable tax withholding obligations. The Party required to withhold shall provide notice and an accounting of amounts withheld within thirty (30) days of withholding.

6. INDEMNIFICATION

6.1 Each Party (an "Indemnifying Party") shall indemnify, defend and hold harmless the other Party and its affiliates, officers, directors and agents (collectively, the "Indemnified Parties") from and against any and all losses, claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) breach of any representation or warranty made by the Indemnifying Party in this Agreement; or (b) any liability or obligation of the Indemnifying Party arising prior to the Distribution Effective Date with respect to the Allocated Assets retained or allocated to the Indemnifying Party.

6.2 The Parties' obligations under this Section shall survive the consummation of the distributions contemplated herein and any termination of this Agreement.

7. CONFIDENTIALITY

7.1 Each Party agrees that it shall hold in confidence and not disclose any nonpublic information regarding the Assets or the other Party's business learned in connection with this Agreement, except as required by law or to its legal, financial, or tax advisors who are subject to confidentiality obligations.

8. NOTICES

8.1 All notices, requests, consents and other communications required or permitted hereunder shall be in writing and shall be delivered to the Parties at the addresses set forth below (or such other address as a Party designates by notice in accordance with this Section).

9. AMENDMENT; WAIVER; COUNTERPARTS

9.1 This Agreement may be amended, modified or supplemented only by a written instrument executed by each Party. No waiver of any provision hereof shall be effective unless in writing and signed by the Party against whom enforcement is sought.

9.2 This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Delivery of an executed counterpart by electronic transmission shall be effective as delivery of an original.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

10.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

10.2 Entire Agreement. This Agreement, including Schedule A, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, oral or written, relating to such subject matter.

10.3 Severability. If any provision of this Agreement is held invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired.

11. MISCELLANEOUS

11.1 Remedies. Except as otherwise provided herein, the remedies provided in this Agreement are cumulative and in addition to any other remedies available at law or in equity.

11.2 Further Assurances. Each Party shall execute and deliver such further documents and take such further actions as may be reasonably necessary to effectuate the transactions contemplated by this Agreement.
