This Asset Management Agreement ("Agreement") is made effective as of Effective Date: by and between Asset Owner: with principal address at and Asset Manager: with principal address at .

WHEREAS

WHEREAS, Owner is the lawful owner of certain tangible and/or intangible assets described in the Asset Inventory and desires a qualified manager to operate, maintain, safeguard and otherwise manage such assets on the terms set forth herein.

WHEREAS, Manager represents that it has the experience, personnel and resources necessary to perform asset management services, and is willing to accept such appointment subject to the terms and conditions of this Agreement.

WHEREAS, the parties desire to set forth their respective rights and obligations concerning the management, control, reporting and disposition of the assets.

Scope of Work

Manager shall perform asset management services including, but not limited to, custody, maintenance, operational oversight, performance monitoring, asset optimization, recordkeeping and periodic reporting as described below and in the Asset Inventory. Manager's duties shall be performed in a commercially reasonable manner and in accordance with industry standards.

Asset Inventory

The assets subject to this Agreement are described in the inventory below or in an attached schedule executed by both parties. The inventory shall identify each asset by type, description, identifying numbers, location and any encumbrances.

Payment Terms

Owner shall pay Manager compensation for services rendered under this Agreement as set forth below. Manager shall invoice Owner in accordance with the agreed schedule and Owner shall remit payment in accordance with the payment terms.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the notice period specified above following written notice. Termination for cause shall be without prejudice to any remedies available at law or in equity.

Confidentiality

Each party acknowledges that during the term of this Agreement it may receive or have access to Confidential Information of the other party. "Confidential Information" means non-public business, technical and financial information disclosed by one party to the other. The receiving party shall (i) hold such information in confidence using at least the same standard of care it uses to protect its own confidential information, (ii) use such information only for the performance of this Agreement, and (iii) not disclose such information to any third party except as required by law or with the disclosing party's prior written consent. Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years.

Indemnification and Insurance

Manager shall defend, indemnify and hold harmless Owner from and against any and all claims, losses, liabilities and expenses arising out of Manager's gross negligence or willful misconduct in the performance of its duties. Manager shall maintain insurance coverage appropriate to its operations, including commercial general liability and professional liability insurance, in amounts customary for comparable service providers. Proof of insurance shall be provided to Owner upon request.

Records and Reporting

Manager shall keep accurate books and records relating to the assets and shall deliver to Owner periodic reports including financial statements, transaction logs and maintenance records. Reporting frequency:

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement

This Agreement, including any schedules and exhibits executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or modification of this Agreement shall be effective unless in writing and signed by duly authorized representatives of both parties.

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate by written notice to the other.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect. The parties agree to execute such further instruments and take such further actions as may be reasonably necessary to carry out the intent of this Agreement.
