WHEREAS, Transferor is the lawful owner or authorized custodian of certain tangible assets and equipment described herein and wishes to transfer or move such assets to the Transferee or to a location designated by the Transferee; and

Termination for Cause: Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any obligation and fails to cure within the notice period set forth above. Termination shall not relieve either party of accrued payment obligations or liability for breaches occurring prior to termination.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party in connection with the movement of assets, including inventories, asset valuations, routings, security procedures, and contact information ("Confidential Information"). Confidential Information shall not include information that is or becomes generally available to the public other than as a result of disclosure by the receiving party in breach of this Agreement. Confidentiality obligations shall continue for a period of three (3) years following completion or termination of this Agreement, unless a longer period is required by applicable law.

Unless otherwise agreed in writing, Transferor shall remain the owner of the assets until delivery and acceptance by Transferee. During transit, risk of loss or damage shall transfer as follows:

Entire Agreement
