Page 1 of 3 ASSIGNMENT OF INTEREST IN RIGHTS OF WAY(Undivided Interest) STATE: COUNTY: ASSIGNOR: ASSIGNEE: EFFECTIVE DATE: Assignor, named above, assigns to Assignee, named above, a _____ undivided interest in and to all Rights in the Rights of Way, described in the Exhibit “A,” attac hed to and made a part of this Assignment. Each Right, Right of Way, and Easement assigned is subject to the terms and condi tions of the referenced document(s), and no rights or rights of way other than those conferred by the document(s) are conveyed by this Assignment. Assignee agrees and covenants to assume its undivided share of all obligations, liabiliti es, and duties contained in or associated with the referenced document(s). Assignee shall not assign, sell, transfer, or convey, in whole or in part, the Rights or Right of Way assigned without the prior written consent of Assignor, except where an assignment, sale, transfer, or conveyance is to a subsidiary of Assignee. Should Assignee abandon the Rights of Way for any two year period, Assignee shall relinquish to Assignor, at its request, in a manner and form satisfactory to Assignor, all the rights, title, and interests assigned to Assignee. Assignee shall defend, indemnify, and hold Assignor harmless, and Assignor shall defend, indemnify, and hold Assignee harmless for any injury or death to any person or persons or damage to any property arising out of their separate work activities, except where the injury or death to any person or persons or damage to property shall be wholly or partially caused by the negligence of the other party, in which event the party causing the injury, death, or damage shall defend, indemnify and hold harmless the other party in proportion to its negligence. Assignee, its employees, agents, or contractors shall exercise due diligence to avoid causing damage to Assignor’s facilities or the facilities of others in performing work a ssociated with the Rights and Rights of Way assigned. Assignor shall immediately report the occurrenc e of any damage to Assignee. With the exception of emergency repairs and/or restorations, any proposed work within the Rights of Way shall be subject to the review and concurrence by a representative from each Page 2 of 3 Owner which holds an undivided interest in the Rights of Way, which review and concurrence shall not be unreasonably delayed or withheld.Assignee acknowledges the priority of interest of Assignor in and to the Rights and Rights of Way assigned, and the priority of Assignor’s interest to that of Assignee and the right of Assignor to further assign or convey interest in the referenced Rights and Right of Way; however, further assignments or conveyances shall not unreasonably interfere with the rights assigned to Assignee, and that Assignee shall notify Assignor prior to making any assignments.
