NOTICE TO OBLIGOR

Assignor hereby gives formal notice to the Obligor named above that, as of the Effective Date of Assignment set forth herein, all payments and notices due under the Original Agreement should be delivered to Assignee at the address provided below unless otherwise directed in writing.

GOVERNING LAW

This Assignment Notice Form shall be governed by and construed in accordance with the laws of the governing jurisdiction selected by the parties. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for resolution of any disputes arising under or related to this Assignment Notice Form.

ENTIRE AGREEMENT

This Assignment Notice Form, together with the Original Agreement as amended hereby, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, regarding such subject matter. Any amendment or modification of this Assignment Notice Form must be in writing and signed by both Assignor and Assignee.

ADDITIONAL PROVISIONS

Successors and Assigns: This Assignment Notice Form shall inure to the benefit of and be binding upon the parties and their respective successors and permitted assigns. No further assignment by Assignee of the Assigned Rights shall be effective without prior written notice to Assignor and the Obligor where required by the Original Agreement.

Waiver: No failure or delay by any party in exercising any right under this Assignment Notice Form shall operate as a waiver of that right.
