What an Assignment of Commercial Leases Is and when it applies

An Assignment of Commercial Leases is a written agreement transferring a tenant's remaining lease rights and obligations to a new tenant (assignee). It identifies the assignor, assignee, premises, effective date, and scope of transferred rights. Typical assignments address rent responsibility, security deposit handling, guarantor status, and whether landlord consent is required. The document may be recorded as a memorandum in land records where permitted and often accompanies estoppel certificates or landlord consent letters to confirm lease status and outstanding obligations.

Why a properly drafted assignment matters

A clear Assignment of Commercial Leases protects parties by documenting who holds rights and obligations, reducing disputes, and enabling proper accounting of deposits and rent. It establishes the effective transfer date, allocates liabilities, and preserves enforceability when landlord consent and recording requirements are observed.

Why a properly drafted assignment matters

Who typically prepares or signs an assignment

Each party should confirm authority to sign and check landlord consent and recording rules before execution.

  • Assignors (current tenants) transferring occupancy and contractual obligations to another business or affiliate, frequently during sales or restructuring.
  • Assignees (incoming tenants) accepting lease rights and obligations, often requiring due diligence on rent, repairs, and existing concessions.
  • Landlords and property managers who must approve transfers, protect lease covenants, and document consent or conditions for approval.

Core elements to include in a professional assignment

A complete Assignment of Commercial Leases contains defined parties, precise premises description, scope of transferred rights, effective date, landlord consent provisions, and indemnities or continuing obligations for the assignor or guarantor.

Parties

Identify assignor and assignee by full legal name and entity type.

Premises

Describe premises with lease reference, address, suite number, and lease commencement/expiration dates.

Assigned Rights

Specify which lease rights transfer (possession, subletting rights, option to renew, etc.).

Effective Date

State the exact date obligations and rights shift; use MM/DD/YYYY format.

Landlord Consent

Include consent language or a condition precedent if the lease requires landlord approval.

Indemnity & Liability

Allocate post-assignment liabilities and whether the assignor remains guarantor or is released.

Step-by-step: preparing and finalizing an assignment

Follow a clear sequence: review lease terms, obtain consents, prepare the assignment, execute documents properly, and distribute or record as required.

  • 01
Review Lease: Confirm assignment clause, consent requirements, and any restrictions.
  • 02
Obtain Consent: Request written landlord consent per lease deadlines and conditions.
  • 03
Execute Documents: Have authorized signatories sign and date the assignment.
  • 04
Record & Distribute: Record memorandum where applicable and provide copies to all parties.

Typical routing and execution process for an assignment

A standard workflow moves documents from drafting to counterparty review, consent gathering, signature, and final delivery or recording.

  • Draft: Prepare assignment using lease details and include required attachments.
  • Review: Send to landlord and legal counsel for approval and edits.
  • Sign: Execute by authorized representatives and notarize if required.
  • Deliver: Provide executed copies to landlord, assignor, assignee, and record as needed.

Setting up an online assignment workflow

Configure an e-signature workflow to collect signatures in order, require authentication, and attach required consent forms and estoppels.

Field Configuration
Signing Order Sequential order: landlord, assignor, assignee.
Authentication Email + SMS code or ID verification for higher assurance.
Attachments Attach lease, consent letters, and estoppel certificates.
Audit Requirements Enable audit trail timestamps and IP capture for enforceability.

Common preparation errors to avoid

  • Failing to obtain written landlord consent when the lease requires it, which may trigger default or void the assignment.
  • Using inconsistent party names or abbreviated entity names that differ from formation documents or IDs.
  • Not addressing security deposit transfer or allocation, leading to disputes over returned monies at lease end.
  • Neglecting to attach required estoppel certificates or prior amendments that change rent, term, or responsibilities.

Consequences of an incorrect or incomplete assignment

Lease Default: Landlord may treat assignment as breach
Liability Shift: Assignor may remain liable without release
Unenforceable Rights: Assignment may fail against third parties
Damages: Monetary damages or specific performance
Recording Risk: Title issues if not recorded correctly
Tax Exposure: Transfer taxes or reporting obligations

Real-world scenarios where assignments are used

Practical examples show how assignments function in common transactions and the documentation parties typically exchange.

Optica Ventures / Tenant Sale

A commercial tenant assigned its lease during a portfolio sale to transfer operations.

  • The landlord required an estoppel and consent.
  • The executed assignment referenced the original lease date, attached the landlord consent, and transferred security deposit handling to the assignee, avoiding a post-closing dispute over liabilities.

Martin Properties / Remote Execution

A property manager executed multiple assignments while remote for tenants moving operations.

  • Mobile and offline signing was used.
  • By preserving audit trails and using notarized acknowledgements where required, the manager finalized assignments quickly while ensuring enforceable transfers and accurate recordkeeping.
