Assignor represents that: (a) The Assigned accounts represent all outstanding accounts of Assignor from the sale of products or services o f assignor and that all goods or services represented by said acco unts have been delivered or given to the account purchasers. (b) The attached Exhibit "A" sets forth the true bal ance of the account, account begin date and credits through the __ day of ____, 20__, as well as the name and address of the account debtor. (c) No payment of the accounts is contingent upon th e delivery of products or services in the future.
