ASSIGNMENT OF PROFESSIONAL SERVICES CONTRACT

RECITALS

WHEREAS, Assignor and Client entered into a written Professional Services Agreement titled dated (Original Contract); and

WHEREAS, Assignor desires to assign to Assignee, and Assignee desires to accept, certain of Assignor's rights and/or obligations under the Original Contract as set forth in this Agreement; and

WHEREAS, the parties wish to set forth the terms and conditions of such assignment and assumption.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, capitalized terms not otherwise defined have the meanings set forth in the Original Contract. "Assigned Rights" means the rights, benefits and remedies set forth in Section 2. "Assumed Obligations" means the obligations, liabilities and duties set forth in Section 3.

2. ASSIGNMENT

Effective as of the Effective Date, Assignor hereby irrevocably assigns, transfers and conveys to Assignee all of Assignor's right, title and interest in and to the Assigned Rights under the Original Contract, which shall include:

3. ASSUMPTION

To the extent Assignee elects to assume obligations, Assignee shall assume and agree to perform only those Assumed Obligations described below. Assignee's obligation to perform such Assumed Obligations is conditioned upon the Effective Date and compliance with Section 6 (Client Consent and Cooperation).

7. REPRESENTATIONS AND WARRANTIES

Assignor represents and warrants that: (a) Assignor has full power and authority to assign the Assigned Rights; (b) the Assigned Rights are free and clear of liens, encumbrances or adverse claims (except as disclosed in writing); and (c) there is no existing default under the Original Contract by Assignor that would be accelerated or otherwise altered as a result of this assignment.

Assignee represents and warrants that: (a) Assignee has the corporate power and authority to accept the assignment and to assume the Assumed Obligations; (b) Assignee will perform the Assumed Obligations in accordance with the terms of the Original Contract; and (c) Assignee's performance will not violate any law or third-party agreement.

8. INDEMNIFICATION

Assignor shall indemnify, defend and hold harmless Assignee from and against any and all liabilities, losses, claims, costs and expenses (including reasonable attorneys' fees) arising out of facts or omissions occurring prior to the Effective Date. Assignee shall indemnify, defend and hold harmless Assignor from and against any and all liabilities, losses, claims, costs and expenses arising out of Assignee's performance of the Assumed Obligations after the Effective Date.

9. NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses below or to such other address as a party may designate by notice in accordance with this Section.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

11. ENTIRE AGREEMENT; SEVERABILITY

This Agreement, together with the Original Contract (to the extent incorporated herein), constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. AMENDMENT; WAIVER; COUNTERPARTS

No amendment or waiver of any provision of this Agreement will be effective unless in writing and signed by both parties. The failure of any party to enforce any provision of this Agreement shall not constitute a waiver of future enforcement. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

13. FURTHER ASSURANCES

Each party agrees to execute and deliver such further documents and to take such further actions as may be reasonably necessary to carry out the purposes of this Agreement.

14. MISCELLANEOUS

The parties understand and agree that this Agreement does not release either party from liabilities that are expressly reserved herein. All obligations and rights that by their terms survive termination of the Original Contract shall survive the assignment to the extent applicable.
