ASSOCIATE WRITER CONTRACT AMENDMENT

This Amendment to the Associate Writer Agreement (the "Amendment") is made effective as of Effective Date: by and between Company Name: and Associate Writer: .

RECITALS

WHEREAS, the Parties entered into an Associate Writer Agreement dated (the "Agreement"), pursuant to which the Associate Writer provides writing and editorial services to the Company; and

WHEREAS, the Parties now desire to amend certain terms of the Agreement as set forth herein to modify compensation, term, scope and certain administrative provisions; and

WHEREAS, except as expressly amended hereby, the Agreement remains in full force and effect.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. AMENDMENT TO AGREEMENT

1.1 Amendment. The Agreement is amended by replacing or supplementing the specified provisions below. All other terms of the Agreement not expressly amended by this Amendment remain unchanged and continue in full force and effect.

1.2 Compensation. The Parties agree that the compensation payable to the Associate Writer for services performed under the Agreement is amended to read as follows: The Company shall pay the Associate Writer a fee of in accordance with the payment schedule: . Payments shall be made net days from receipt of an undisputed invoice, unless otherwise agreed in writing.

1.3 Term and Termination. The Term of the Agreement is amended such that the Agreement shall expire on unless earlier terminated in accordance with the Agreement. Either Party may terminate the Agreement upon days' prior written notice for convenience, subject to fulfillment of any outstanding obligations incurred prior to termination.

1.4 Scope of Work. The Parties agree to the following amended scope of services:

The Company shall provide written notice of acceptance or rejection within days of receipt. Failure to provide timely rejection shall be deemed acceptance.

2. INTELLECTUAL PROPERTY

2.1 Assignment of Rights. To the extent permitted by applicable law, the Associate Writer hereby assigns and transfers to the Company all right, title and interest, including copyright, in and to all works, drafts and deliverables created under the Agreement, whether created alone or jointly, and all renewals, extensions and rights of action in respect thereof. The Associate Writer shall execute all instruments and take such further acts reasonably requested by the Company to effectuate such assignment.

2.2 Moral Rights. To the maximum extent permitted by law, the Associate Writer irrevocably waives and agrees not to assert any moral rights or similar rights in the deliverables against the Company and its licensees and assigns.

3. CONFIDENTIALITY

3.1 Continued Confidentiality. The Associate Writer reaffirms all confidentiality, non-disclosure and non-use obligations contained in the Agreement and agrees that such obligations shall survive termination of the Agreement for a period of years.

4. REPRESENTATIONS, WARRANTIES AND INDEMNITIES

4.1 Representations. Each Party represents and warrants that it has full power and authority to enter into this Amendment and to perform its obligations hereunder, that its execution and performance will not breach any other agreement, and that the representations made in the Agreement remain true and correct as of the Effective Date.

4.2 Indemnification. The Associate Writer shall indemnify, defend and hold harmless the Company and its officers, directors and agents from and against any third-party claim, loss or liability arising out of a breach of the Associate Writer's representations, warranties or the infringement of any third-party rights as a result of the deliverables, except to the extent that such claim arises from materials provided in writing by the Company.

5. EXPENSES

5.1 Reimbursement. The Company shall reimburse reasonable, pre-approved out-of-pocket expenses incurred by the Associate Writer in performance of services under this Agreement upon submission of appropriate receipts or documentation and in accordance with the Company's expense policy.

6. NOTICE

Any notice required or permitted under this Amendment shall be in writing and delivered to the addresses set forth below (or to such other address as either Party may designate by written notice to the other) and shall be deemed given when delivered personally, by nationally recognized overnight courier, or five (5) business days after deposit in the United States mail, postage prepaid.

7. MISCELLANEOUS

7.1 Governing Law. This Amendment shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

7.2 Entire Agreement. This Amendment, together with the Agreement, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral, relating to such subject matter.

7.3 Severability. If any provision of this Amendment is held to be invalid, illegal or unenforceable for any reason, the remaining provisions shall continue in full force and effect and the Parties shall negotiate in good faith to replace the invalid provision with a valid provision that most closely approximates the Parties' original intent.

7.4 Amendments; Waiver. No amendment or modification of this Amendment shall be effective unless in writing and signed by authorized representatives of both Parties. No waiver of any provision shall constitute a waiver of any other provision, nor shall any waiver constitute a continuing waiver.

7.5 Counterparts. This Amendment may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be binding.
