What an ATM Placement Agreement Is and when it's used

An ATM Placement Agreement is a contract between an ATM owner/operator and a host location that sets the terms for placing, servicing, and sharing revenue from a cash-dispensing machine. The agreement covers site access, installation, cash handling, maintenance responsibilities, insurance, revenue splits, term and termination, and dispute resolution. It allocates operational costs and liabilities, defines performance and uptime expectations, and records contact and banking details needed for revenue remittances. Use this agreement to document obligations before installing or operating an ATM at a third-party site.

Why this agreement matters for owners and hosts

An ATM Placement Agreement clarifies liability, cash handling, revenue allocation, and service obligations so parties avoid disputes and compliance gaps; properly executed contracts also support tax and regulatory reporting and are enforceable under the ESIGN Act (15 U.S.C. ch. 96) and state UETA frameworks.

Why this agreement matters for owners and hosts

Who typically signs and manages an ATM Placement Agreement

The agreement is used by commercial hosts, independent ATM operators, and financial-services providers to formalize placement arrangements and operational duties.

  • Independent ATM operators — manage cash loading, maintenance, and revenue remittances to hosts and sponsors.
  • Retail and hospitality hosts — provide space and utilities, monitor on-site security and customer access.
  • Bank sponsors and processors — handle network connectivity, settlement, and regulatory reporting where applicable.

Assign clear internal owners for billing, maintenance escalation, and contract renewals to reduce operational friction and compliance risk.

Core sections to include in a professional ATM Placement Agreement

A comprehensive agreement organizes responsibilities and financial terms into discrete sections so both parties can reference obligations quickly during operations and audits.

Parties

Identify full legal names, business entity types, and contact details for the operator, host, and any sponsor or processor involved in settlements.

Term & Termination

Specify initial term, renewal mechanics, early termination rights, required notice periods, and post-termination removal procedures for the ATM equipment.

Revenue Sharing

Detail surcharge revenue splits, reconciliation cadence, remittance timing, banking instructions, and procedures for disputed transactions.

Maintenance & Service

Define who performs cash loading, hardware repairs, software updates, response times, escalation contacts, and spare-parts provisions.

Insurance & Liability

Require insurance minimums, indemnity allocation, cyber and physical loss coverage, and who bears costs for theft or damage.

Access & Compliance

Prescribe site access hours, power/Internet provisioning, PCI or cardholder-data handling requirements, and obligations to comply with applicable laws.

Essential data fields to capture

Owner Legal Name: Entity name
Host Legal Name: Entity or DBA
ATM Serial Number: Manufacturer ID
Location Address: Street, city, state, ZIP

How to set up the agreement as an online template

Configure a template to ensure consistent data capture, approval routing, and secure signing.

Field Configuration

Template Fields Lock legal name, editable finance fields
Signing Order Operator then host
Authentication Email plus SMS or KBA optional

Where executed agreements should be sent and stored

Follow these distribution and filing steps after all signatures are complete.

  • Operator Copy: Operator retains original for settlement and audits.
  • Host Copy: Host keeps an executed copy for site records.
  • Finance / Processor: Send remittance and settlement details to accounting.
  • Secure Archive: Store executed PDF with audit trail in a document management system.

Options for distributing and signing the agreement

Use secure, auditable delivery methods that preserve signature attribution and the full audit trail.

  • Email with secure link: Send a signed-link that opens the document for authentication and signing.
  • Integration delivery: Push executed PDFs to accounting or contract repositories via API integrations.
  • In-person signing: For hosts needing physical execution, combine live signature with scanned e-copy.

Ensure chosen channels meet your compliance and retention requirements; integrate with CRM or storage systems (for example, Salesforce, NetSuite, Google Workspace) to automate routing and archiving.

Common timing elements and processing expectations

Define predictable schedules for notices, remittances, maintenance responses, and insurance proofs to avoid disputes and service interruptions.

Effective Date:

Date contract obligations begin; use MM/DD/YYYY format.

Termination Notice:

Typical 30–90 days' written notice required for nonrenewal or termination.

Maintenance Response Time:

State response SLAs, commonly 24–72 hours depending on severity.

Revenue Remittance:

Monthly or quarterly, specify cutoff and banking details.

Insurance Renewal:

Provide proof of renewal at least 30 days before expiration.

Key milestones from negotiation to active operation

Track these milestones to coordinate installation, testing, and revenue flows.

02

Common mistakes to avoid when preparing the agreement

  • Failing to specify who pays for cash replenishment and ATM shortages creates recurring disputes and reconciliation gaps.
  • Using vague revenue language like 'reasonable share' without formula or sample calculations leads to inconsistent remittances.
  • Neglecting to include insurance minimums and indemnities exposes hosts to uncovered theft or liability claims.
  • Omitting precise site access and downtime procedures results in delayed maintenance and unmet SLAs.

Potential penalties and operational risks

Contractual Breach: Damages, termination rights
Liability Gaps: Uninsured loss exposure
Tax Withholding: Backup withholding risk
Reporting Penalties: 1099 penalties (see IRC §6721)
Regulatory Fines: PCI or money-transmitter fines
Operational Downtime: Lost surcharge revenue
