GENERAL BUSINESS AGREEMENT AND ATTENDANCE TRACKING LIST

This General Business Agreement (the Agreement) is entered into effective as of (Effective Date), by and between:

RECITALS

WHEREAS, Client requires professional services and related attendance documentation in connection with business activities described in this Agreement; and

WHEREAS, Provider represents that it has the expertise, personnel and systems necessary to perform the services and to maintain an accurate Attendance Tracking List for all sessions, meetings or events conducted under this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

SCOPE OF WORK

Provider shall perform the services described above and shall maintain an Attendance Tracking List for each meeting, training, or event held in connection with the services. The Attendance Tracking List must record attendee identity, affiliation, arrival and departure times and any required signatures. Provider warrants that such records will be accurate, complete and retained in accordance with the retention provisions set forth in this Agreement.

PAYMENT TERMS

Any amount not paid when due shall accrue interest at % per month, compounded monthly, and a one-time administrative fee of may be applied. Acceptance of late payments does not waive Provider's rights to pursue collection and other remedies.

TERM AND TERMINATION

This Agreement commences on and continues until unless earlier terminated as provided herein. Either party may terminate for convenience upon written notice delivered at least days prior to termination. Either party may terminate immediately for material breach if the breaching party fails to cure within a commercially reasonable time after written notice.

CONFIDENTIALITY

Each party shall keep confidential all non-public information disclosed by the other party that is clearly designated as confidential or that a reasonable person would understand to be confidential under the circumstances (Confidential Information). Confidential Information shall not include information that is or becomes publicly available through no breach of this Agreement, is independently developed without reference to Confidential Information, or is rightfully received from a third party without restriction. Receiving party will use Confidential Information solely for the purposes of performing under this Agreement and shall take commercially reasonable measures to protect such information from unauthorized disclosure.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The parties agree that any action related to this Agreement shall be brought exclusively in the courts of that State.

ENTIRE AGREEMENT

This Agreement, together with any attachments or schedules expressly incorporated herein, contains the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

RECORD RETENTION AND CERTIFICATION

Provider shall retain original Attendance Tracking Lists and related records for a period of from the date of each session. Provider certifies that records will be made available to Client upon reasonable request and that falsification of attendance records is grounds for immediate termination and remedies at law.
