ATTORNEY CONFIRMATION FORM

This Attorney Confirmation Form (the Agreement) is entered into as of by and between Client Name: with principal address , and Attorney Name: of Firm Name: with principal address (collectively, the Parties).

RECITALS

WHEREAS, Client seeks legal representation with respect to the matter described as: Matter/Subject: (the Matter); and

WHEREAS, Attorney is duly licensed to practice law and has represented to Client that Attorney has the experience, personnel and resources necessary to provide legal services in connection with the Matter; and

WHEREAS, the Parties desire to confirm the scope, fees, responsibilities, and terms under which Attorney will provide legal services for the Matter.

NOW, THEREFORE, in consideration of the mutual promises set forth below, the Parties agree as follows:

1. SCOPE OF REPRESENTATION

Attorney will provide legal services to Client limited to the Matter described above. Services include legal advice, preparation and filing of documents, negotiations and court appearances reasonably necessary for the Matter. Services do not include separate matters unless expressly agreed in writing. Attorney will not render tax, accounting or other non-legal services unless separately retained.

2. FEES, EXPENSES AND RETAINER

Client agrees to pay Attorney for services in accordance with the fee arrangement selected below and to reimburse Attorney for reasonable and necessary expenses directly related to the Matter.

Statements will be rendered monthly unless otherwise agreed. Client shall pay amounts due within thirty (30) days of invoice. Attorney may suspend services or withdraw if invoices or retainers are not timely paid; interest and collection costs will accrue as allowed by law.

3. CLIENT COOPERATION

Client agrees to cooperate fully, to provide complete and accurate information and to execute documents as necessary. Client acknowledges that failure to cooperate may prejudice the representation and may be grounds for Attorney's withdrawal.

4. CONFLICTS, CONFIDENTIALITY AND ETHICAL COMPLIANCE

Attorney represents that, to the best of Attorney's knowledge following a reasonable conflicts check, no conflict of interest exists that would materially impair Attorney's ability to represent Client in the Matter, except as disclosed here:

Attorney will maintain confidentiality of Client information as required by applicable professional responsibility rules. Nothing in this Agreement limits Attorney's obligations under ethical rules when withdrawal or disclosure is required to comply with law or to prevent certain harms.

5. AUTHORITY AND SETTLEMENT

Attorney shall obtain Client's informed consent before entering into any settlement, dismissal, or agreement affecting Client's rights. Client does hereby authorize Attorney to take routine actions necessary to advance the Matter without prior approval, including filing documents and communicating with opposing counsel, provided such actions are consistent with Client's stated objectives.

Client authorizes Attorney to accept service of process on Client's behalf with respect to the Matter where permitted by law.

6. WITHDRAWAL AND TERMINATION

Either Party may terminate this Agreement upon written notice. Attorney may withdraw for good cause, including Client's breach, nonpayment, conflict of interest, or other circumstances permitted by law. Upon termination, Client shall pay for all services rendered and costs incurred through the date of termination and for reasonable transition services thereafter.

7. FILES, RECORDS AND RETENTION

Client may request copies of client file materials. Attorney's original file and work product remain the property of Attorney, subject to Client's right to obtain client documents. Attorney may retain copies and may destroy files after a reasonable retention period consistent with professional obligations.

8. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses provided below. Delivery by email is acceptable if confirmation of receipt is obtained.

9. AMENDMENTS, WAIVER AND COUNTERPARTS

This Agreement may be amended only by a writing signed by both Parties. No waiver of any term shall be effective unless in writing signed by the waiving Party. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

10. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Attorney maintains a principal office for the Matter, without regard to conflicts of law principles. If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. This Agreement constitutes the entire agreement between the Parties regarding the subject matter hereof and supersedes all prior oral and written communications.

11. CERTIFICATIONS

Attorney certifies that Attorney holds an active license to practice law in the jurisdiction(s) identified and will comply with professional conduct obligations. Client represents that Client has authority to enter into this Agreement and will comply with payment and cooperation obligations herein.
