AUCTION RESERVE CONFIDENTIAL AGREEMENT

This Auction Reserve Confidential Agreement ("Agreement") is made effective as of by and between Seller Name: and Auctioneer Name: . The parties agree as follows.

3. Auctioneer Duties and Procedures

Auctioneer will conduct the auction in a commercially reasonable manner consistent with industry practices. If the highest bid does not meet the Reserve, Auctioneer will follow Seller's written directions regarding negotiation or re-offer. Auctioneer may employ lot passing, bidding increments, and other customary auction methods.

4. Confidentiality of Reserve

Seller and Auctioneer acknowledge that the Reserve and related confidential terms constitute Confidential Information. Except as expressly permitted below, each party agrees not to disclose the Reserve or other Confidential Information to any third party without prior written consent of the other party. Confidential Information may be disclosed only to employees, agents, contractors, bidding platforms, appraisers, legal counsel or title companies on a need-to-know basis who are subject to confidentiality obligations no less protective than this Agreement.

Permitted disclosures include (a) disclosures required by law, subpoena or court order (provided prompt notice to the other party where law permits), (b) disclosures to prospective purchasers under standard confidentiality protections, and (c) disclosures necessary to consummate a transaction after Reserve is met. The disclosing party shall use reasonable efforts to limit the scope of any compelled disclosure.

Net proceeds due Seller shall be paid within days after closing, less commissions, fees, and lawful deductions.

6. Seller Representations and Disclosures

Seller represents and warrants that Seller is the lawful owner of the Property, has full authority to enter into this Agreement, and that the Property will be conveyed free and clear of liens except as disclosed to Auctioneer in writing prior to the auction.

7. Indemnification; Remedies

Seller shall indemnify, defend and hold Auctioneer harmless from and against any claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of Seller's breach of this Agreement, Seller's representations, or Seller's failure to disclose material facts. Auctioneer shall indemnify Seller for claims arising from Auctioneer's gross negligence or willful misconduct.

In the event of a breach of the confidentiality provisions hereof, the non-breaching party shall be entitled to injunctive relief and any other remedies available at law or in equity, including recovery of damages and costs.

8. Termination

This Agreement terminates upon the earlier of (a) closing of a sale of the Property, (b) written mutual agreement of the parties, or (c) thirty (30) days after written notice by either party if no auction has occurred, except that confidentiality obligations shall survive termination for the period stated in Section 4.

9. Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law rules. This Agreement constitutes the entire agreement between the parties with respect to the Reserve and supersedes all prior written or oral agreements on the subject.
