Representations and Warranties

Seller represents that Seller has authority to enter into this Agreement, that there are no undisclosed liens or encumbrances other than those disclosed in writing to Purchaser, and that all statements in the auction materials known to be material have been disclosed to Purchaser. Seller shall deliver marketable title at closing subject only to permitted exceptions.

Purchaser represents that Purchaser has reviewed the property and auction sale materials and accepts the variations set forth herein, subject only to the inspection and financing provisions expressly set forth above.

Default and Remedies

If Purchaser fails to timely perform any obligation under this Agreement, Seller may retain Purchaser's deposit as liquidated damages or pursue specific performance and any other remedies provided by law. If Seller fails to perform, Purchaser may seek specific performance, return of deposit, and any other remedies available at law or equity. The parties acknowledge that specific performance is an appropriate remedy for breach of this Agreement given the unique nature of the Property.

Indemnity and Risk Allocation

Each party agrees to indemnify the other for claims arising from that party's breach, negligence, or willful misconduct. Risk of loss to the Property remains with Seller until closing and conveyance of title, except as otherwise expressly provided herein.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below by personal delivery, nationally recognized overnight courier, or certified mail return receipt requested. Notice is effective upon receipt.

Miscellaneous

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located, without regard to conflict of laws principles.

Entire Agreement; Amendment: This Agreement, together with the original auction terms as expressly varied herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations and agreements. Any modification or amendment must be in writing and signed by both parties.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect.
