AUDIO RELEASE FORM

This Audio Release Agreement (the "Agreement") is entered into between:

RECITALS

WHEREAS, Producer intends to record, capture, reproduce and use audio recordings, voice tracks, interviews, performances and other sound recordings (collectively, "Audio Recordings") in connection with the production titled: ; and

WHEREAS, Participant is willing to provide vocal performances, spoken word, interviews or other audio contributions to the Audio Recordings under the terms set forth in this Agreement; and

WHEREAS, Producer desires to obtain from Participant all rights necessary to exploit the Audio Recordings in any and all media now known or hereafter devised.

SCOPE OF RECORDING

Participant shall perform, provide, or otherwise deliver audio content as described below. Participant agrees to render such services in a professional manner consistent with industry standards.

GRANT OF RIGHTS

Participant hereby irrevocably grants, transfers and assigns to Producer and Producer's licensees, successors and assigns the exclusive, worldwide, perpetual, royalty-free right to use, reproduce, distribute, publicly perform, transmit, modify, adapt, edit and otherwise exploit the Audio Recordings, in whole or in part, in any and all media and formats now known or hereafter devised, for any purpose including advertising, promotion, merchandising, and commercial exploitation. Participant waives any moral rights and agrees not to assert any rights that would interfere with Producer's use of the Audio Recordings.

PAYMENT TERMS

As full consideration for the rights granted and the services rendered, Producer will pay Participant the following:

Taxes: Participant will be solely responsible for any taxes, withholdings, or other statutory obligations arising from payment under this Agreement unless otherwise agreed in writing.

Either party may terminate this Agreement for material breach that remains uncured for days after written notice. Termination shall not affect Producer's rights to use any Audio Recordings already made or lawfully obtained prior to termination.

CONFIDENTIALITY

Except as necessary for the exercise of Producer's rights under this Agreement, Participant shall keep confidential all non-public information disclosed by Producer and shall not disclose such information to any third party for years from the Effective Date. Confidential information does not include information that is or becomes publicly available through no fault of Participant, is rightfully received from a third party without restriction, or is independently developed by Participant without use of Producer's confidential information.

REPRESENTATIONS, WARRANTIES AND INDEMNIFICATION

Participant represents and warrants that Participant is the sole owner of the rights granted hereunder or is otherwise authorized to grant such rights; that the Audio Recordings and Participant's performance do not infringe the rights of any third party; and that Participant's obligations hereunder will not violate any other agreement or obligation. Participant shall indemnify, defend and hold Producer harmless from any claims, liabilities, losses, costs or expenses (including reasonable attorneys' fees) arising out of any breach of the foregoing warranties.

LIMITATION OF LIABILITY

Except for liability arising from willful misconduct or gross negligence, in no event will either party be liable to the other for consequential, incidental, punitive or special damages, and Producer's aggregate liability arising out of or related to this Agreement shall not exceed the total compensation actually paid to Participant under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

MISCELLANEOUS

Participant acknowledges that Producer may assign this Agreement and its rights hereunder to any successor or affiliate without Participant's consent. The invalidity or unenforceability of any provision of this Agreement shall not affect the remainder of the Agreement, which shall remain in full force and effect.
